Governance Explanations

Form 990, Part VI, Section A, Line 8B

The organization does not have any committees with the authority to act on behalf of the board of trustees.

Form 990, Part VI, Section B, Line 11

The organization's president/ceo, vice president/cfo and board of trustees review a draft of the form 990, which is prepared by the organization's independent accountants. Any resultant comments and changes are incorporated into the form by the independent accountants. A final version of the form 990 is then provided to each member of the board of trustees prior to its filing with the irs.

Form 990, Part VI, Section B, Line 12C

And line 14. All officers and trustees of the organization are required to file a statement disclosing any potential interests that could give rise to conflicts. These statements are evaluated by the officers of the organization. Individuals with potential conflicts of interest are prohibited from participating in any deliberations or decisions that may be effected by a potential conflict of interest. The organization is establishing a formal written document retention and destruction policy for year ending 2017.

Form 990, Part VI, Section B, Line 15A

The salary of the president/ceo is established by independent parties by comparing positions in organizations of similar size and structure. The process for this review and approval is documented.

Form 990, Part VI, Section C, Line 19

The organization's audited financial statements are available to the public via the websites of certain regulatory agencies as well as upon request. The organization's governing documents and conflict of interest policy are available to the public upon request.
