Governance Explanations

Form 990 governing body review Part VI line 11

The Form 990 was prepared by the organizations external accountant in coordination with the Executive Director and Treasurer. A complete draft of the Form 990 was provided to prior to filing. The Board members were given adequate time to review the return and were encouraged to ask questions or provide feedback. The final version of the Form 990 was approved by the Board before submission to the IRS. This review process ensures that the governing body is informed of the contents of the return and that the information presented is accurate and complete.

Conflict of interest policy compliance Part VI line 12C

The organization maintains a written conflict of interest policy applicable to its officers, directors, and key employees. Annually, each individual is required to complete and sign a conflict of interest disclosure form. The Board of Directors reviews these disclosures and monitors potential conflicts on an ongoing basis. In the event of an actual or potential conflict, the interested party is required to recuse themselves from discussions and decision-making related to the matter. The Board evaluates each situation to ensure decisions are made in the best interest of the organization.

The compensation of the Executive Director is reviewed and approved annually by the Board of Directors. The process includes a review of comparable compensation data for similarly sized nonprofit organizations in the region and within the same sector. The Board relies on publicly available data, compensation surveys, and IRS filings (such as other organizations Form 990s) to establish reasonable compensation. The Executive Director does not participate in discussions or votes regarding their own compensation. The deliberation and approval are documented in the board meeting minutes to ensure compliance and transparency.

The organization follows a formal process for determining the compensation of officers and key employees, which includes an annual review by the Board of Directors or a designated compensation committee. Compensation decisions are based on a review of comparable salary data from similar nonprofit organizations, taking into consideration factors such as job responsibilities, experience, and organizational budget. Officers and key employees do not participate in discussions or votes regarding their own compensation. All compensation decisions are documented in meeting minutes to ensure transparency and compliance with IRS guidelines on reasonable compensation.
