“For the year covered by this Form 990, the Organization engaged an independent public accounting firm to perform an audit of its financial statements and to subsequently assist in the preparation and filing of its annual Form 990. The Firm coordinated with the Organization's top finance and management personnel to ensure that the Form 990 was prepared in an accurate, complete, and timely manner. Members of the Organization's Finance Committee and officers reviewed a complete copy of the Form 990 with the accountants prior to filing. Additionally, public disclosure copies of the Form 990 were provided to the Organization's full board for their review and consideration prior to the Form 990 being finalized and filed with the IRS. Because it is possible that certain board members may only receive the public-copy of the Form 990 prior its filing, without donor names and addresses as reported to the IRS on Schedule B, Part VI, Line 11a has been answered "no" in accordance with IRS Instructions.”
“The Board of Directors of the Foundation considers it critical that the Foundation avoid any conflict of interest or the appearance of a conflict of interest in any of the activities of the Foundation on the part of the Board, the staff, agents, or any other person acting on behalf of the Foundation. Where a Director of the Board or staff is unsure whether a conflict or an affiliation may exist, he or she shall disclose the relevant facts to the Chair and one other Principal Officer, or in the case of any Principal Officer, to two (2) disinterested Directors and said Director, staff or Principal Officer shall abide by the decision of the recipient of the relevant facts as to the existence of a conflict or an affiliation. A Director of the Board or staff shall advise the Chair of any conflict of interest or potential conflict of interest that such Director or staff may become aware or becomes aware which, to the best of their knowledge, has not been previously disclosed. In the case of a Principal Officer said Principal Officer shall make his or her disclosure to two (2) disinterested Directors. The Foundation circulates a Conflict-of-Interest questionnaire each year as part of the Foundation's annual meeting. Board Members are required to complete the questionnaire fully and accurately and to update their questionnaire as circumstances and conflicts change or arise.”
“The compensation and benefits of the Organization's President and CEO is set and agreed upon by the Foundation's Board of Directors based on the CEO's experience, knowledge, and skill. The President & CEO reports directly to the Board of Directors and also works collaboratively with Board committee chairs to achieve the Foundation's mission and for evaluation of programmatic achievement. Compensation is set based on the Board's understanding of reasonable fair market rates for the value of services provided by the CEO. The President & CEO shall have the express power to screen, select, and hire employees, agents, attorneys, accountants, consultants, and independent contractors as the same may be necessary and appropriate to the Mission and Purposes of the Foundation. Commensurate with this power, the President & CEO shall have the power to determine compensation, benefits, reimbursement, and retainers as each and all shall be appropriate.”

“The Foundation is exempt from federal and state income taxes under Section 501(c)(3) of the Internal Revenue Code. Accordingly, there is no provision for income taxes within the financial statements. However, income from activities not directly related to the Foundation's tax-exempt purpose would be subject to taxation as unrelated business income. Tax-exempt organizations could be required to record an obligation for income taxes as the result of a tax position they have historically taken on various tax exposure items, including unrelated business income or tax status. In accordance with U.S. GAAP, assets and liabilities are established for uncertain tax positions taken or positions expected to be taken in income tax returns when such positions are judged to not meet the "more-likely-than-not" threshold, based upon the technical merits of the position. The Foundation has evaluated the positions taken on its filed tax returns and has concluded no uncertain income tax positions exist at June 30, 2024.”

| IRS990/Desc | 0 | Haiti has continued to face an escalating humanitarian crisis marked by increasing armed violence, spiraling food insecurity, widespread loss of employment, interrupted education, and significant mental health trauma. It is estimated that more than 5 million Haitians are in urgent need of humanitarian assistance. Despite these challenges, The Saint Rock Haiti Foundation (SRHF) has remained steadfast in its commitment to providing critical health services, operating one of the few functional healthcare systems in the region. SRHF serves over 80,000 registered patients and collaborates with the Ministry of Health to offer essential services such as school feeding programs, vaccinations, family planning, and HIV screening and treatment.(Continued on Schedule O)During this period, SRHF appointed a new medical director while promoting the previous medical director to the role of the Organization's first Haiti country director. Additionally, two dentists, one medical doctor, three nurses, and one laboratory technician completed their social service years at SRHF'S healthcare facilities, strengthening the Foundation's medical workforce.Education remains an important aspect of SRHF's integrated approach. SRHF provided salary support for teachers in five primary schools. Nearly 80% of a school campus rebuild project has been completed, with master planning services generously donated by Margulies & Perruzzi Architects. Additionally, more than 150 young adults benefited from university and vocational tuition support, while over 160 community members received employment assistance. To further support students, SRHF secured funding and developed plans to launch a school-based nursing program, aimed at addressing minor injuries, illnesses, and mental health concerns in educational settings.Medical services, the cornerstone of SRHF's mission, continued to expand with facility upgrades at two healthcare centers within the Foundation's network, including the addition of a laboratory and a dental suite. Further investments in infrastructure led to the upgrade of the solar energy system, ensuring more consistent electrical service and reducing dependence on diesel generators. These improvements facilitated the installation of high-speed broadband internet, enabling remote medical consultations between Haitian staff and SRHF medical volunteers and supporting remote coding education through a partnership with Project Trinite.Governance and program development efforts remain guided by SRHF's 2023-2026 Strategic Plan. The Emerging Leader Board successfully organized two major fundraising events, including a 5K run that attracted 81 participants and raised $13,000. They also launched an Ambassador Program designed to enhance awareness and support for SRHFs mission and ongoing work in Haiti. Additionally, fundraising efforts have supported ongoing operational needs and program expansion, ensuring the foundation's ability to continue providing essential services amid Haiti's ongoing crisis. |
