“150 commons way investors inc. ("150 commons") is a corporation which is exempt under i.r.c section 501(c)(25). The common stock of 150 commons is owned by the iowa public employees retirement system ("ipers"), and as a result 150 commons is included in the ipers ubs managed account financial statements ("ipers ma"). Ipers is an integral part of the primary government of the state of iowa, and uses multiple entities to invest in real estate properties. The primary entity formed to hold the real estate investments is structured as a partnership, and its income is not subject to federal and state income taxes, but it does have an informational filing requirement to the internal revenue service. Since ipers is the sole owner of the general partner, and is the sole limited partner of this partnership, it is responsible for income taxes on its share of earnings reported to it to the extent required by the internal revenue code of 1986, as amended (the "code"). 150 common way is subject to the unrelated business taxable income as defined in the code, however, the entity did not have an unrelated business taxable income liability for the 2015, 2014, and 2013 fiscal years. Accordingly, no provision for income taxes has been made in the combined financial statements. Ipers ma has evaluated the uncertainties of tax positions taken or expected to be taken based on the probability of whether it is more likely than not the position will be sustained upon audit based on technical merit of open tax years. Ipers concluded that it does not have any unrecognized tax benefits or any additional tax liabilities for any uncertain tax positions. Ipers files tax returns in federal and various state and local jurisdictions for certain entities on the combined financial statements. A number of years may elapse before any uncertain tax position is audited and finally resolved. Tax years since 2011 and open and remain subject to federal, state and local examinations.”
