Governance Explanations

Part VI, Section A, Question 2

Ubs realty investors, llc ("ubs") manages 150 commons way investors, inc. On behalf of the iowa public employees retirement system ("ipers"). Ubs realty provides investment advisory services to ipers in connection with the portfolio pursuant to an investment guideline and investment administrative requirement contract. All individuals listed as officers, directors, trustees and key employees are employees of ubs and are not directly compensated by ipers or 150 commons way investors, inc.

Part VI, Section A, Question 3

UBS Realty Investors LLC has been engaged by Iowa Retirement Management Board to perform all management duties.

PART VI, SECTION A, QUESTION 6 and Question 7

The common stock of 150 Commons Way Investors, Inc. is owned by THE IOWA PUBLIC EMPLOYEES RETIREMENT SYSTEM ("IPERS"). IPERS is the trustee for the assets of Iowa's state pension plans and invests in real estate on behalf of the Public Employees' Retirement System, Teachers' Retirement System, and Judicial Retirement System. The shareholder has the right to participate in the organization's governance and to receive distributions from the organization in accordance with its exempt purposes (see part III, line 4a).

Part VI, Section A, Question 7B

The business of the corporation shall be managed by its institutional trustee. All decisions made by the institutional trustee are authorized by the shareholder.

Part VI, Section B, Question 11

The tax return is prepared by an independent accounting firm and a copy of the organization's final form 990 was distributed to the governing body prior to its filing with the irs. Ubs realty investors llc, its manager, reviewed the form 990 prior to signing and filing with the irs.

Part VI, Section B, Questions 12,13 & 14

There are no separate written policies for 150 Commons Way Investors, Inc. However, employees of the management company and institutional trustee, UBS Realty Investors LLC, are subject to the conflict of interest and other policies of the management company. Annually, the UBS compliance officer confirms officer compliance with these policies. The compliance policy will be provided upon request.

Financial Statement Notes

Income Taxes

150 commons way investors inc. ("150 commons") is a corporation which is exempt under i.r.c section 501(c)(25). The common stock of 150 commons is owned by the iowa public employees retirement system ("ipers"), and as a result 150 commons is included in the ipers ubs managed account financial statements ("ipers ma"). Ipers is an integral part of the primary government of the state of iowa, and uses multiple entities to invest in real estate properties. The primary entity formed to hold the real estate investments is structured as a partnership, and its income is not subject to federal and state income taxes, but it does have an informational filing requirement to the internal revenue service. Since ipers is the sole owner of the general partner, and is the sole limited partner of this partnership, it is responsible for income taxes on its share of earnings reported to it to the extent required by the internal revenue code of 1986, as amended (the "code"). 150 common way is subject to the unrelated business taxable income as defined in the code, however, the entity did not have an unrelated business taxable income liability for the 2015, 2014, and 2013 fiscal years. Accordingly, no provision for income taxes has been made in the combined financial statements. Ipers ma has evaluated the uncertainties of tax positions taken or expected to be taken based on the probability of whether it is more likely than not the position will be sustained upon audit based on technical merit of open tax years. Ipers concluded that it does not have any unrecognized tax benefits or any additional tax liabilities for any uncertain tax positions. Ipers files tax returns in federal and various state and local jurisdictions for certain entities on the combined financial statements. A number of years may elapse before any uncertain tax position is audited and finally resolved. Tax years since 2011 and open and remain subject to federal, state and local examinations.

THE PRIMARY ENTITY FORMED TO HOLD THE REAL ESTATE INVESTMENTS IS STRUCTURED AS A PARTNERSHIP, AND ITS INCOME IS NOT SUBJECT TO FEDERAL AND STATE INCOME TAXES, BUT IT DOES HAVE AN INFORMATIONAL FILING REQUIREMENT TO THE INTERNAL REVENUE SERVICE. SINCE IPERS IS THE SOLE OWNER OF THE GENERAL PARTNER, AND IS THE SOLE LIMITED PARTNER OF THIS PARTNERSHIP, IT IS RESPONSIBLE FOR INCOME TAXES ON ITS SHARE OF EARNINGS REPORTED TO IT TO THE EXTENT REQUIRED BY THE INTERNAL REVENUE CODE OF 1986, AS AMENDED (THE "CODE"). 150 COMMON WAY IS SUBJECT TO THE UNRELATED BUSINESS TAXABLE INCOME AS DEFINED IN THE CODE, HOWEVER, THE ENTITY DID NOT HAVE AN UNRELATED BUSINESS TAXABLE INCOME LIABILITY FOR THE 2015, 2014, AND 2013 FISCAL YEARS. ACCORDINGLY, NO PROVISION FOR INCOME TAXES HAS BEEN MADE IN THE COMBINED FINANCIAL STATEMENTS. IPERS MA HAS EVALUATED THE UNCERTAINTIES OF TAX POSITIONS TAKEN OR EXPECTED TO BE TAKEN BASED ON THE PROBABILITY OF WHETHER IT IS MORE LIKELY THAN NOT THE POSITION WILL BE SUSTAINED UPON AUDIT BASED ON TECHNICAL MERIT OF OPEN TAX YEARS.
