“In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and all material facts to the compliance officer. After disclosure of the financial interest and all material facts by the interested person, the compliance officer shall determine whether a conflict of interest exists. If the compliance officer determines that a conflict of interest exists, or if the compliance officer is the interested person, the matter shall be disclosed to the board of directors or a duly authorized committee of the board of directors. The following procedures shall be followed once the compliance officer determines that a conflict of interest exists or if the compliance officer is the interested person: a. The interested person may make a presentation to the board of directors or applicable committee, but after the presentation, he or she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the conflict of interest. B. The board of directors or applicable committee, shall, if necessary or appropriate, appoint a disinterested person, committee or sub-committee to investigate alternatives to the proposed transaction or arrangement. C. After exercising due diligence, the board of directors or applicable committee shall determine whether the foundation can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. However, subject to their fiduciary obligations generally, the directors may decide, in the exercise of their judgment, that it is not necessary to determine whether a more advantageous transaction or arrangement can be obtained (for example, where a de minimus expenditure is involved.) d. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the board of directors or applicable committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the foundation's best interest, and whether it is fair and reasonable.”

“The oranization did not compensate any officers or directors. However, the organization's policy regarding compensation is as follows: compensation includes direct and indirect remuneration as well as gifts or favors that are not insubstantial. The following provisions shall apply only to compensation of officers, directors, trustees, the highest compensated employees and the highest compensated independent contractors: a. A voting member of the board of directors who receives compensation, directly or indirectly, from the foundation is precluded from voting on matters pertaining to his or her own compensation. B. Compensation arrangements shall be approved in advance of payment of compensation. C. The date and terms of approved compensation arrangements shall be documented in writing in a contract, letter agreement, or minutes of the board of directors or committee approving such compensation or other applicable document.”
