Person-to-Person is a volunteer driven, community supported agency which, through the sharing of goods and talents, responds to individuals and families who lack the basic necessities or resources to improve their lives. Person-to-Person provides rapid response to client emergencies as well as access to interconnected services, which support our client's journey to self sufficiency. These services include: practical help, problem solving, advocacy and education for our common future. Our commitments direct us to promote positive change in the lives of our clients and volunteers, and increased community awareness of needs and problems. Person-to-Person intends to remain flexible, non-bureaucratic and reliant on volunteers.

Governance Explanations

Form 990, Part VI, Section A, Line 1A

Executive committee. The executive committee shall be composed of the president, 1st vice president, treasurer and secretary of the corporation, and the chief executive officer, who shall be an ex-officio member thereof (without voting rights). Any duly appointed 2nd vice president, assistant treasurer or assistant secretary may attend meetings of the executive committee at the invitation of the president, and in the absence of the treasurer or secretary, respectively, in the case of any assistant treasurer or assistant secretary. The committee shall serve at the pleasure of the board of directors and shall have and may exercise all such authority and powers of the board of directors as shall be provided in a resolution adopted by a majority of the board, or as may thereafter be expanded or restricted by subsequent resolutions, so far as may be permitted by law. In all cases in which specific directions shall not have been given by the board of directors, the executive committee shall have and may exercise all of the powers of the board of directors, so far as may be permitted by law, in the management of the activities, property, business and affairs of the corporation whenever the board of directors is not in session.

The vestry of st. Luke's episcopal church, in darien connecticut as the sole member of the corporation member elects the board members. Candidates for the board shall be proposed for two-year terms by the governance committee at a meeting of the board of directors at least two months prior to the annual meeting. Candidates are approved by the board and elected by the sole member prior to the annual meeting. The number of directorships (not including ex-officio members) shall be no less than thirteen (13) or more than twenty-three (23). At the annual meeting of the corporation shall be held, with notice, annually at such time and place within the state of connecticut as may be fixed by the president for the purposes of presenting the results of the election of directors by the vestry, installing all new and re-elected directors, selecting successor officers. The president of the board shall serve as the chairman of the meeting.

Each member of the board must annually review the conflict of interest policy and signs the disclosure statement. This is done immediately following the annual meeting, or for new board members, during their orientation. A board member is expected to self-disclose any conflict of interest. If a conflict of interest exists the board may vote to waive it. Any such decisions would be memorialized in the board meeting minutes. This process is monitored by the ceo and office manager.

The ceo reviews and approves in consultation with coo utilizing non-profit salary annual benchmarking reports; each employee receives a written notification of any changes in annual salary. The board of directors approves the annual budget, which includes the line item for salaries. The board of directors sets the compensation for the ceo. In 2003, person-to-person established the janet evans endowment fund (the "fund"), in honor of retiring executive director janet evans. Contributions to the fund are invested as directed by an endowment committee appointed by the board of directors. Withdrawals from the fund, which may be used at the discretion of the board of directors, are limited to 5% of the average year-end market value for the three preceding fiscal years.

PART X, LINE 2:

The organization evaluates all significant tax positions as required by accounting principles generally accepted in the united states of america. As of june 30, 2025 the organization does not believe that it has taken any positions that would require recording of any additional tax liability nor does it believe that there are any unrealized tax benefits that would either increase or decrease within the next year.
