Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by an independent accounting firm based on the audited financial statements and information provided by the accounting department of the organization. The organization's chief executive officer, chief financial officer, and finance committee review the form 990. Then,the finance committee presents the form 990 to the board of directors for approval.

Form 990, Part VI, Section B, Line 12C

Monitoring compliance with conflicts of interest: at the time of their election or appointment, each director or officer of the corporation shall be asked to complete a disclosure statement identifying all related parties of the director/officer who have a conflicting interest with respect to any transaction between such person and the center. These statements shall be kept on file at the center's corporate office. These statements shall be updated annually and any additions or other changes shall be made by the director/officer as they occur. A potentially conflicted director or ceo may make a presentation to the board regarding potential conflicts of interest. The board deliberates, and votes on whether a conflict of interest exists, in the absence of the potentially conflicted person. In instances of pervasive conflicts of interest, the conflicted person may be required by the board or ceo to withdraw from his or her position unless the individual, family member or business associate chooses to disassociate from the outside position that causes the conflict of interest. The ceo reviews all other potential conflicts of interest.

Form 990, Part VI, Section B, Line 15A

Executive compensation: the board chair sends a performance evaluation for the chief executive officer to all executive committee members. They complete the evaluation and discuss as a committee. Results of the executive committee's evaluation are shared with the full board during an executive session in which the ceo is not present. The board provides input into the ceo's evaluation, performance plan and approves changes to the ceo's compensation if any. They also obtain an outside survey of health center chief executive salaries from the state's health center association, nachc and mgma.the most recent meeting to discuss executives compensation took place in august 2022.
