Governance Explanations

Form 990, Part VI, Section B, Line 11B

The cold spring school's executive committee reviews the form 990 before signature and filing.

Form 990, Part VI, Section B, Line 12C

Conflict of interest policy was adopted in september 2009. The executive committee periodically makes the trustees aware of possible conflicts of interest and requires trustees to report any possible conflicts they may have. Each member is required to read and sign off on the conflict of interest statement each year at the first board meeting.

Form 990, Part VI, Section B, Line 15A

Each year the personnel committee and the chair of the board of trustees reviews the national association of independent schools comparability data on salary levels for independent schools in the new england region. This data helps them recommend to the full board of trustees an appropriate salary level for the director of cold spring school. The board of trustees then negotiates and approves the director's annual salary.

Form 990, Part VI, Section C, Line 18

The cold spring school makes its forms 1023 and 990 avaiable for public inspection upon written request and its form 990 is available on the guidestar website soon after filing.

Form 990, Part VI, Section C, Line 19

The cold spring school makes its governing documents, conflict of interest policy, and financial statements available to the general public upon written request.
