“The voting members of the Executive Committee are comprised of the Board Chair, Board Vice-Chair, Audit and Investment Committee Chair, the President and CEO, and the Immediate Part Chair of the Board. All of the members of the Executive Committee are also members of the Board of Directors, the governing body of the organization. The Executive Committee may act on behalf of the organization in any matter when the Board is not in session provided that such matter does not require a Board vote as provided for in the Bylaws or any applicable Board Policy. A majority of the Executive Committee shall constitute a quorum for the transaction of business.”
