“The Greenwich Education Association adopted by unanimous vote by the Board of Directors a Document Retention Policy and a Whistleblower Protection Policy. The Greenwich Education Association amended its bylaws and constitution by a majority quorum of the membership to include the regulation of these documents, provide clarity to voting concerning alternate representatives to the Board of Directors, establish new committees including special education, and provide clarity of language on conflict of interest.”

“The Connecticut Education Association, and its locally-affiliated Greenwich Education Association, consists of dues-paying members who are certified teaching professionals of the Greenwich Board of Education.”

“Active members of the Greenwich Education Association may nominate candidates or self-nominate for Executive Office, including President, Vice President Elementary/PreK, Vice President Communications, Vice President Membership, Secretary, Treasurer, Building Representatives, and CEA and NEA Representative Assembly delegates. Nominations of officers shall be brought forth to the Election Committee 45 days prior to the annual vote. The Election Committee shall prepare official ballots and set the voting procedures for the election of all officers and Building Representatives. The candidate receiving the highest number of votes for each office shall be declared the winner. In the event of an uncontested election, the Secretary shall cast one ballot for the candidate, and the President shall declare the candidate elected. Any unfilled positions are appointed by the President and/or Executive Board per the Constitution & By-Laws.”

“Amendments to the Greenwich Education Association Constitution shall be introduced and discussed at regular Board of Directors' meetings. Copies of revision proposals shall be made available to the general membership at least thirty (30) days prior to a vote to amend. Amendments shall be voted upon by a secret ballot of the general membership. Amendment shall be adopted by a two-thirds majority of those voting. All monthly meeting minutes and financial documents are accepted by a majority vote of the quorum of Board of Directors.”

“A copy of Form 990 is reviewed by the Association's Executive Board before filing.”

“Whether a Director has an Interest in an entity shall be determined by whether that Director would derive an individual economic benefit, either directly or indirectly, from any transaction or relationship involving such entity or any decision on a matter involving such entity by the Executive Board, Board of Directors or a committee. Officers, Directors, or committee members of the Greenwich Education Association shall not attempt to influence other Officers, Directors, or committee members regarding matters in which they have a Conflict of Interest, without first disclosing that Conflict of Interest.”

“The Treasurer chairs the annual budget review and proposes the next year's budget at the Annual Meeting to the membership. The budget includes officer compensation, funding for committees, operational expenses, and professional development, and donations to charities. The budget for the following year shall be presented at the Annual Meeting. Approval of the budget shall require a majority vote of those members present. The approved budget will be funded by the annual dues of the membership. Dues payments shall be collected by members of the Executive Board and/or Board of Directors or by payroll deduction.”

“The Greenwich Education Association presents and emails the membership a copy of its governing documents and conflicts of interest policies annually, and then posts to the association's website for members' reference. Financial statements are presented monthly to the Board of Directors who share with the members at their school location; an annual financial statement is presented electronically in May to the membership at the Annual General Membership Meeting.”
