“Compensation of Officers, Directors, Trustees, and Key employees. The Board of Directors has charged the Executive Committee with making recommendations to the Board for the determination of compensation of the President/CEO. Information is made available to assist in establishing compensation that is fair and reasonable including: recent compensation surveys and/or analysis of like organizations in the region, specific compensation data for similiar positions in organizations of similar size and complexity. Information collected with relevance to the President/CEO compensation is reviewed with the Chair of the Human Resource Committee and the Board of Directors who presents this data to the Executive Committee for consideration in developing the Committee's recommendation to the Board of Directors as to terms of an employment agreement, if any, and annual compensation to be paid to the President/CEO. The Board of Directors approves the President/CEO employment and compensation agreement. Information collected with relevance to compensation for other senior managment personnel is reviewed with the President/CEO who considers this data in recommending annual compensation for these individuals. The CEO's recommendations are reviewed for reasonableness by the Executive Committee (Sr. Management Compensation Committee) prior to recommendations to the Board of Directors for approval. Compensation is determinded by terms of employment agreements (if any), the organizations performance, the employee's contributions to that performance and his/hers years of service. Additional factors considered are education or credentials, prior experience, current or prior affiliations, scarcity of talent in job area, etc. Decisions on compensation for members of Ability Beyond's Sr. Managment team are reached after review of relevant survey information and data for the like positions in like agencies in the region. Members of Sr. Management Team whose compensation is being considered are not present at meetings which a decision on his/her compensation is reached.”

The CEO has entered into an employment agreement which includes a provision for bonus payments based on the executives performance related to objectives ranging from 10 to 20% of salary.”

The officers and employees reported in this schedule govern and manage all phases of the operations for Ability Beyond Disability, Inc., Ability Beyond Disability (a NY Corporation), and Growing Possibilities, Inc.: compensation reported on this schedule is total compensation provided through all related corporations, See Schedule O, Part VI line 15 for a description of the process for determining compensation.”
