In may 2024, article iv - officers, section 1 (b) of the bylaws was amended to change the term of the board chair from a maximum of six one-year terms to a maximum of two consecutive three-year terms.

Members pay dues to join mystic seaport in order to access collections, exhibits and educational programs. Each member shall have one vote which may be given in person or by proxy.

In all categories of membership, each adult 18 years of age or older included within the membership shall be separately entitled to vote.

There shall be an annual meeting of the members of mystic seaport museum for the election of trustees to succeed those whose terms expire and for the transaction of such other business as may properly come before the meeting. Special meetings of the members for any purpose may be called by (i) the chairman of the board of trustees, or (ii) the president, or (iii) in their absence, any vice chairman or (iv) a majority of the board of trustees, and shall be called at any time by the chairman of the board of trustees or the president, or any vice chairman or any other officer upon the written request of 100 members entitled to vote at such meeting.

Management will review the final 990 draft for completeness and accuracy. When satisfied that the return is complete, it will then be distributed to the audit committee of the board of trustees for their review.

Each board member and senior staff person signs and dates the conflict of interest policy at the beginning of his/her term of service and periodically thereafter. Upon disclosure of a possible conflict of interest to the full board, the board shall determine whether a conflict exists and if so the board shall determine by majority vote to authorize or reject the transaction or take any other action deemed necessary. A compensation study or survey is used to establish the compensation of the organization's ceo. The compensation is approved by the board of trustees. The ceo is provided with a written employment contract. Other officer salaries are determined by the organization's management and approved by the board of trustees as part of the budgeting process.

In addition, financial statements are published in an annual report, emailed out to more than 17,000 members and available on mystic seaport's website. Financial Statement Notes

PART II, LINE 9:

The organization follows the same method for recording easements as it does for its collections. Refer to response to schedule d part iii.

PART III, LINE 1A:

The museum does not capitalize collections. Such donations need not be recognized if they are added to collections that are held for public exhibition, education or research in furtherance of public service rather than financial gain; are protected, kept unencumbered, cared for and preserved; and are subject to a policy that requires the proceeds from sales of collection items to be used to acquire other items for collections. Accordingly, purchased collection items are expensed in the year of purchase and no revenue is recognized on donated collection items.

PART III, LINE 4:

The museum's collections include 500 watercrafts (including 5 major vessels), 24 historic houses and buildings, 2000 ship models, 1100 scrimshaw pieces, 5000 video tapes, 1,500,000 feet of historic film and a collection of over 1,400,000 photographs, as well as significant collections of prints, navigational instruments, tools, marine paintings and other maritime memorabilia. In addition, the collection contains large quantities of nonnautical furnishings for the historic buildings, as well as ship and boat parts, engines and similar objects. The museum's library collection contains approximately 75,000 books and periodicals, 1,000,000 manuscripts, 10,000 maps, well over 200,000 ship plans, 2,000 rolls of microfilm and 600 oral history tapes.

PART V, LINE 4:

The purpose of the endowment is to support the current and future mission of mystic seaport museum.

PART X, LINE 2:

The museum was organized as a nonstock, nonprofit corporation as described under section 501(c)(3) of the internal revenue code and, as such, is not subject to federal and state corporation income tax except for certain unrelated business income. Management has analyzed the tax positions taken by the museum and has concluded that, as of december 31, 2024 and 2023, there are no uncertain tax positions taken or expected to be taken that would require recognition of a liability (or asset) or disclosure in the financial statements. The museum has no unrecognized tax benefits at december 31, 2024 and 2023. The museum's federal information returns prior to fiscal year 2021 are closed and management continually evaluates expiring statutes of limitations, audits, proposed settlements, changes in tax law and new authoritative rulings. If the museum had unrelated business income taxes, it would recognize interest and penalties associated with any tax matters as part of the income tax provision and include accrued interest and penalties with the related tax liability in the statements of financial position.
