Organization's members: the university is an institution of higher education sponsored by the institute of the sisters of mercy of the americas and affiliated with the conference for mercy higher education ("cmhe").

Form 990, Part VI, Section A, Line 7B

Member actions: as a condition to the corporation's affiliation with cmhe and sponsorship by the sisters of mercy of the americas, the board of trustees shall not take any of the following actions without the prior written consent of the board of directors of cmhe or its successor or designee: i. Approve a sale or disposition of all or substantially all of the assets, a merger, consolidation, reorganization, dissolution or liquidation of the corporation, or other fundamental transaction contemplated within the nonprofit corporation law of the state of connecticut or these bylaws; or ii. Amend this section or article i of these bylaws, or article 3 or article 6 of the certificate of incorporation, with respect to the corporation's roman catholic identity or the affiliation of the corporation with cmhe or its sponsorship by the sisters of mercy of the americas.

Conflict of interest policy: the president's office sends annual conflict of interest questionnaires to members of the board of trustees. If a conflict of interest is identified, the trustee member shall refrain from participating in any action on matters except upon approval of the board after full and frank disclosure. The vice president for finance and administration reviews the completed questionnaires, and presents the results to the board's audit committee.

Compensation policy: the process for determining the compensation for the president meets the three requirements of the rebuttable presumption of reasonableness. Compensation for the university's president is set by the executive committee of the board of trustees, which is composed of individuals who do not have a conflict of interest regarding the transaction. The process includes the comparison with compensation of presidents of comparable institutions, by means of industry surveys and review of form 990's; and contemporaneous documentation of deliberations and decisions regarding the compensation agreement. The president's compensation agreement is a written document. This full process was most recently undertaken during the year ended june 30, 2024.

Financial Statement Notes

PART III, LINE 4:

Organization's collection of art: the art museum at the university of saint joseph opened in 2001 in the university's bruyette athenaeum. It now houses a collection of more than 2,600 works of art. A paintings collection, whose strength is in american art of the twentieth century, includes works by thomas hart benton, georgia o'keeffe and milton avery, is complemented by a collection of works of art on paper. The latter collection ranges from the fifteenth century to the present, including noteworthy european old master prints, nineteenth-century to contemporary japanese prints, and twentieth-century and contemporary american and european works and a growing photograph collection. With a suite of exhibition galleries, a print study room, and up-to-date storage facilities, the art museum has made the university's collection more accessible and has opened myriad opportunities for the study and enjoyment of art. The museum collaborates with faculty to present educational programming and host class visits throughout the year, provides professional development for k-12 teachers, and offers a variety of lectures, gallery talks, and events for the general public. Each year the art museum presents several special exhibitions in addition to changing installations of the permanent collection.

PART V, LINE 4:

Endowment funds: the university's endowment consists of approximately 230 individual funds established for a variety of purposes, including both donor-restricted endowment funds and funds designated by the university to function as endowments (quasi - endowment). The university manages its long-term investments in accordance with the total return concept and the goal of maximizing long-term return within acceptable levels of risk. The university's spending policy is designed to provide a stable level of financial support and to preserve the real value of its endowment. The university compares the performance of its investments against several benchmarks.

PART X, LINE 2:

The university is recognized by the internal revenue service as an organization under internal revenue code (irc) section 501(a) described in section 501(c)(3) of the irc. Under irc 501(a), the university is generally exempt from federal and state income taxes on related income. The university believes it has taken no uncertain tax positions. Tax positions for the open tax years as of june 30, 2024, were reviewed, and it was determined that no provision for uncertain tax positions was required as of june 30, 2024 or 2023. The university's federal and state returns are generally open for examination for three years following the date filed. The university will account for interest and penalties related to uncertain tax positions, if any, as part of tax expense.
