“The executive committee shall consist of not less than five trustees. The chair shall be one such committee member and serve ex officio as chair of the executive committee. Subject to any prior limitations imposed by the board, the executive committee shall have the power to transact all regular business of the corporation during the interim between the meetings of the board, and all actions shall have the same force and efforts of action of the board. The executive committee shall also be responsible for long-range planning activities, and for monitoring the implementation of long range plans.”

“Members of the board of trustees receive a conflict of interest form that must be completed each year by every trustee and officer. The responses are reviewed by the board's governance and nominating committee each year. Any individual with an actual or potential conflict of interest needs to recuse himself/herself from any decision on the transaction.”

The head's compensation is compared to other heads of school using guidestar, the national association of independent schools (nais) benchmarking analysis, etc. The review of compensation for the head of school is conducted upon contract renewal. Top management compensation is reviewed when any material changes in compensation are made. Deliberations and decisions regarding compensation are documented.”
