The Foote School Association

“Any parents or guardians of the person of a child enrolled and in attendance at the school managed or operated by the association shall be members of the association. Membership in the association shall terminate when a member ceases to have a child enrolled in and attending said school, provided that any member who is serving as director of the association when he or she ceases to have a child enrolled in the school shall continue to be a member until the expiration of his or her term as director.”

“Up to twenty-two of the directors shall be elected by the members of the association. At least two-thirds of these directors, who shall be called elected directors, shall be members of the association. Directors who are not members of the association, if any, shall be individuals whose knowledge or experience with education, children, independent schools, or other subjects relevant to the school, will benefit the board and the school, or whose active participation otherwise will broaden and strengthen the board and continue the school's well-being. Elected directors shall serve four year terms, which may be staggered so that approximately one-forth of the elected directors have terms that expire in any given year.”

“Members may authorize an amendment to the bylaws that further reduce or eliminate the substantive rights of the members. This is an example of a vote reserved only to the members, and in which the board does not have a say.”

“Prior to filing, the form 990 is reviewed and approved by the audit committee then the executive committee. The approved form 990 is then made availalble to all board members prior to filing.”

“The organization has a conflict of interest policy in place. The conflict of interest policy gets reviewed annually by the governance committee of the board of trustees. Annually, each board member is required to sign a new conflict of interest disclosure form. All forms are kept on file at the school.”

“The executive committee of the board, acting as a compensation committee, is authorized to evaluate and determine compensation of the head of school. Only independent executive committee members may participate in the process. Prior to making a decision and reporting to the full board, the executive committee will obtain and rely upon appropriate objective data as to comparability. The executive committee contemporaneously substantiates its deliberation and decision in meeting minutes. The business manager and all other employees at the school are hired and evaluated annually by the head of school.”

“The school's articles of incorporation are available through the office of the secretary of state in connecticut. No other documents are available to the public.”
