“The committee shall consist of the elected officers of the corporation (board chair, vice chair, secretary and treasurer) and other directors as designated by the chair (currently two at-large members). The executive director shall serve on the committee without a vote. The executive committee is responsible for working in support of, or occasionally in place of, the full board.”

“The 990 is sent to the audit and finance committees electronically for their review. Once the 990 is approved by the committees, it is distributed electronically to the full board of directors for their review prior to it being filed.”

“The organization requires all board members to review and sign a written conflict of interest statement on an annual basis. Every officer and director who becomes aware of any actual or potential conflict of interest of any other officer or director shall notify the executive director and the board chair. The executive director and the board chair will take such action as they deem appropriate. There is a conflict of interest policy for employees that is monitored by the hr director. If it is determined that an employee has violated the policy, the organization may take appropriate action, up to and including termination of employment.”

“The organization used salary data made available by third sector new england's compensation survey which consisted of southern new england and west chester county not-for-profits. Based upon this review and cpa's compensation philosophy management made a recommendation of salary amounts to the board of directors. Each year the salaries are aged based on data obtained from the bureau of labor statistics, employment cost index summary, for government workers. This process applies to all administrative employees, executive director, chief financial officer, director of operations, development director, administrative manager, communications director, accounting staff, hr generalist and administrative assistant. Calculations are done annually but increases cannot always be given due to budget constraints. The process described here was last completed in 2022.”
