“The organization is made up of alumni organized to further and to support the interests of brown university.”

“The nominating committee shall seek recommendations from the members of the board of governors of the alumni association, each brown club or other regional organization, class officers, current and emeriti alumni and alumnae trustees, past presidents of the alumni association, the executive committee of the alumni interviewing program, chairpersons of the brown annual fund, brown alumni magazine board members, and members of any standing committee of the alumni association and other university organizations and individuals as they deem advisable. From all the recommendations it receives, the nominating committee shall submit to the board of governors for its approval, a slate of final nominations. No individual may be nominated for more than one office. A petition signed by members of the alumni association is filed with the secretary of the alumni association immediately before the election naming a candidate or candidates. The names of those candidates nominated by the board of governors, together with the candidates nominated by petition, shall be placed on a ballot, which is emailed to all alumni for whom there is a current email address on file. All other alumni will be given the opportunity to receive a mail ballot, or vote online.”

“A copy of the form 990 is reviewed by the officers of the board of goveners before filing.”

“The organization does not make its financial statements/governing documents/conflict of interest policy available to the general public. The financial statements and all other documents are available for members to view upon request, by appointment only, and within 24 hours of the request.”

“While the organization does not maintain a written conflict of interest policy, the organization does handle any identified possible issues relating to conflict of interest informally and continue to monitor the relationships to ensure they continue to be appropriate for the organization. This process is based on the process used by brown university and applies to all staff based on their threshold of responsibility.”
