The form 990 is prepared by tax advisors of an independent accounting firm with information provided by management. The form 990 is then presented and explained to the board prior to filing. The board has the opportunity to ask questions and receive answers. The board votes on approving form 990 prior to filing.

Form 990, Part VI, Section B, Line 12C

Members complete and sign a conflict of interest statement when joining the board, then annually at the first regular meeting of the new fiscal year. Board members are asked at regular board meetings to disclose any potential conflicts when voting on any issues. The individual with the potential conflict is allowed to provide information to the board regarding the transaction however he or she cannot be present when the conflict is discussed and cannot vote on the proposed transaction.

The executive director's compensation is based on comparability data of other similar not-for-profit organizations and is voted on by the board of directors. This is done annually and the deliberation and decision are documented.

PART X, LINE 2:

Accounting principles generally accepted in the united states of america require management to evaluate tax positions taken by the organization and recognize a tax liability if the organization has taken an uncertain position that more likely than not would not be sustained upon examination by the internal revenue service. The organization is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. The organization reports tax-related interest and penalties, if any, as a component of management and general expense.
