Mission

The mission of the organization is to provide primary medical, dental and behavioral health services to the residents of the Rhode Island communities that it serves regardless of ability to pay. The emphasis is to promote the highest health status for the individual and family as well as for the community.

The organization is a federally qualified health center that provides primary medical, dental, behavioral health, pharmacy and related patient support services to more than 18,000 individuals regardless of ability to pay.

Governance Explanations

Form 990, Part VI, Section B, Line 11B

A draft copy of Form 990 is distributed to all board members. The members are given the opportunity to review the document and to receive answers to questions they might have regarding same document before the document is submitted to the IRS.

Form 990, Part VI, Section B, Line 12C

Board members are required to disclose conflicts of interest annually through the completion of a disclosure form. Members are also required to disclose potential conflicts that may arise during the course of a meeting. If the board makes the determination that a conflict exists, the member in question may be asked to recuse his/herself from any discussion and votes regarding the matter in question.

Form 990, Part VI, Section B, Line 15

The compensation and benefits of the CEO are determined by the board of directors on an annual basis. In order to inform this process, board members are provided with a myriad of comparability data from similar organizations including a review of Form 990s of other community health centers in the region and salary and benefit surveys conducted by independent organizations. The CEO establishes the compensation and benefits of other officers and key employees and utilizes the same independent data to inform this process. The compensation and benefits of other officers is shared with the board on an annual basis. The comparability study was last performed in 2023.

The Organization has determined that there are no uncertain tax positions which qualify for either recognition or disclosure in the financial statements at June 30, 2025.

Rental Income on Form 990 is reduced by Rental Expense of $54,193. Rental income included in Total Revenue, Gains and Other Support in the audited financial statements is reported at the gross amount. Grants are recorded as revenue in the year that the grants are awarded on Form 990. Grants are recorded as revenue in the audited financial statements when such grants are expended for their permissible use and thereby are released from donor restrictions.
