Before form 990 is filed, members of the audit committee will review the form 990 compiled by audit firm and present to the board of directors for a resolution of approval after answering and resolving any questions.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is reviewed annually with the board and referenced in quarterly reports. If a potential conflict is raised, member in question may recuse him/herself and if not, member is excused while non-conflicted members decide if there is a real or potential conflict. Excused members do not take part in deliberations or decisions. Proceedings related to conflicts of interest are documented in the meeting minutes.

Form 990, Part VI, Section B, Line 15A

Contemporaneous data from the minnesota council of nonprofits was used to tie the executive director salary to a comparable gs-level in 2004. Since that time, gs-level data has been used annually as contemporaneous substantiation of cost of living or performance increases by steps as with government employment. The board felt gs levels provided the best annual contemporaneous substantiation since they are public and conducted by the government. In 2014, salary was also compared and found in line with similar salaries listed from the minnesota council of nonprofits data and documented in board minutes for executive director m. Eaton.

Financial Statement Notes

PART X, LINE 2:

National collegiate conference association incorporated is exempt from income taxes under section 501(c)(3) of the internal revenue code. It has been classified as an organization that is not a private foundation under the internal revenue code and charitable contributions by donors are tax deductible. The organization is also exempt from state income taxes. The organization follows the provisions of accounting for uncertainty in income taxes. This standard clarifies the accounting for uncertainty in income taxes recognized in an entity's financial statements and prescribes a recognition threshold for the financial statement recognition of tax positions taken or expected to be taken on a tax return that are not certain to be realized. The standard has no impact on the organization's financial statements. As of may 31, 2014, the organization's tax returns are open to examinations for the years ending may 31, 2011 through 2013.
