South shore community action council works to eliminate poverty on the south shore by coordinating, strengthening, and supplementing community efforts to empower individuals and families so they can live in decency and with dignity, realize their full potential, and participate to the extent of their capabilities in all that our communities have to offer.

Governance Explanations

Form 990, Part VI, Section A, Line 4

During april 2024, the board of directors ratified changes to south shore community action council, inc.'s by-laws. Signifucant changes to the by-laws were to re-align some of the town-specific seats on the board and change the current size of the board from 21 to 18 directors to reflect a more equitable geographic representation based on the poverty rate within each town. Additionally, the updated by-laws changed the process to vote for amendments to the by-laws from 2 votes at consecutive regular board meetings (or special meetings called for that purpose) to 1 vote at a regular or special board meeting called for that purpose.

Form 990, Part VI, Section B, Line 11B

A draft copy of the audited financial statements are presented to the board of directors. The board of directors then votes to approve the audited financial statements. The form 990 is then prepared based on the audited financial statements. A draft copy of the form 990 is presented to the chief financial officer (cfo) to review. The cfo compares the form 990 to the audited financial statements. Any changes are reported to the return preparer. Copies of the draft 990 are then provided to the board of directors.

Form 990, Part VI, Section B, Line 12C

Each and every employee and board member, along with the officers, are required to fill out the conflict of interest questionnaire on an annual basis. Should a conflict arise in the middle of the year, they are required to notify the executive director.

Form 990, Part VI, Section B, Line 15

All positions, including that of the chief executive officer, are assigned a starting salary in accordance with the agency's salary plan. The executive committee of the board is responsible for establishing the salary for the chief executive officer. This compensation is determined based on funding available and survey of other comparable sized cap agency salaries. Salary increases that occur take the form of cost of living increases when the budget permits. Any such increase pertains to all staff including the chief executive officer.

Financial Statement Notes

PART IV, LINE 2B:

Sscac is acting as the financial administrator and holding funds on behalf of a consortium of community agencies working together to solve gaps in public transportation services for elderly and disabled individuals. Such funds belong to each contributing agency and not to sscac.

PART X, LINE 2:

The council evaluates its tax positions taken or expected to be taken in its tax returns to determine whether the tax positions are more-likely-than-not of being sustained by the applicable tax authority. Tax positions not deemed to meet the more-likely-than-not threshold, along with accrued interest and penalties thereon, would be recorded as an expense in the current year financial statements. Management has evaluated the tax positions taken in its previously filed returns and those expected to be taken in its fiscal year 2024 returns and believe they are more-likely-than-not of being sustained if examined by federal or state tax authorities. Tax filings for fiscal years 2021-2023 remain subject to examination by federal and state tax authorities.
