Governance Explanations

Form 990, Part VI, Section A, Line 6

The corporation has a single class of members, each of whom is entitled to vote on all matters coming before the members. New members may be admitted by majority vote of the corporation as represented by those present plus any proxies at any properly called meeting.

Form 990, Part VI, Section A, Line 7A

The president, treasurer, and clerk shall be elected by majority vote of the board of directors at the first board meeting following the annual corporation meeting. Officers shall serve until the conclusion of the next year annual meeting.

Form 990, Part VI, Section A, Line 7B

Fifteen percent of the voting membership shall constitute a quorum necessary for the transaction of business at any meeting of the corporation. Any business, other than change of by-laws, shall be acted upon a majority vote of those present, plus any proxies that have been received.

The return is reviewed by the president and treasurer prior to being filed. The board is then provided with a copy and has an opportunity to review before the form 990 is filed.

The school's conflict of interest policy covers board members and officers. Annually, each board member and officer completes a conflict of interest questionnaire and submits to the board president. Compliance is monitored throughout the year by the executive director. Any potential conflict must be submitted and will be discussed at the next board meeting. The individual with the potential conflict, recuses himself or herself from the deliberations.

The compensation for the head of school, teachers and office managers is determined by the board of directors using student enrollment data and cost of living data. The school also looks at similar positions at comparable schools. The compensation is approved by the board president and treasurer.

ANNUALLY, EACH BOARD MEMBER AND OFFICER COMPLETES A CONFLICT OF INTEREST QUESTIONNAIRE AND SUBMITS TO THE BOARD PRESIDENT. COMPLIANCE IS MONITORED THROUGHOUT THE YEAR BY THE EXECUTIVE DIRECTOR. ANY POTENTIAL CONFLICT MUST BE SUBMITTED AND WILL BE DISCUSSED AT THE NEXT BOARD MEETING. THE INDIVIDUAL WITH THE POTENTIAL CONFLICT, RECUSES HIMSELF OR HERSELF FROM THE DELIBERATIONS.
