Omniair consortium is the leading industry association promoting interoperability and certification in tolling, intelligent transportation systems (its), and connected vehicles. Omniair's membership includes public agencies, private companies, research institutions, independent test labs, test equipment/software providers, cybersecurity experts, engineering firms, tolling agencies, and its deployment organizations, all sharing a common theme of conformance and interoperability for transportation technologies. We provide the opportunity for members to work collaboratively to develop and decide on requirements for national certification programs. Omniair members shape the future of its and iot technologies.

Form 990, Part VI, Section A, Line 7A

Omniair has three classes of membership, each with distinct membership privileges. - associate level members are eligible to participate in omniair working groups and committees as contributors. They are eligible for omniair certification services, including device certification, laboratory authorization, test equipment qualification, and field test site authorization. Associate level members also have access to omniair's extensive library of proprietary testing documents, and are eligible for participation in omniair plugfests and other events. - executive level members enjoy the same membership privileges as associate level members. In addition, executive level members are eligible to stand for election to the board of directors and may chair working groups and committees. They are responsible for the strategic, technical, and operational development of omniair, its advisory committees and certification services. They act as liaisons to the transportation community from a policy standpoint. They are eligible to be elected to the board of directors, and to chair committees and working groups. - sustaining partners are fully leveraging the benefits of all inclusive membership option, which grants members access to unlimited certification services and complementary entry to omniair events. All sustaining members receive the following benefits at no additional cost: - executive level membership (eligibility for leadership positions) - unlimited device certification applications, including reference devices - unlimited test equipment qualifications - unlimited test laboratory authorizations - unlimited field test site authorizations - no fees for re-certifications, re-labeling, or variants - two complimentary tickets to all omniair workshops and webinars - one device testing or test station ticket (four attendees, two devices) per plugfest. All omniair members may nominate candidates for election to the board of directors. The omniair board of directors elects directors from a slate approved by the nominating committee of the board. The board of directors elects the executive committee; can create or disband working groups, committees, and ad hoc task forces, and provide final approval of work products produced by omniair working groups. The board also approves the hiring of the executive director. The executive director approves hiring of all other staff.

Financial Statement Notes

PART X, LINE 2:

Under section 501(c)(6) of the internal revenue code, omniair is a nonprofit organization and is exempt from federal taxes on income other than net unrelated business income. No provision for federal or state income taxes is required for the year ended december 31, 2023, as omniair had no taxable net unrelated business income. Omniair follows the authoritative guidance relating to accounting for uncertainty in income taxes included in accounting standards codification topic 740-10, income taxes. These provisions provide consistent guidance for the accounting for uncertainty in income taxes recognized in an entity's financial statements and prescribe a threshold of "more likely than not" for recognition and derecognition of tax positions taken or expected to be taken in a tax return. It is omniair's policy to recognize interest and/or penalties related to uncertain tax positions, if any, in income tax expenses. Omniair performed an evaluation of uncertain tax positions for the year ended december 31, 2023, and determined that there were no matters that would require recognition in the financial statements or that may have any effect on its tax-exempt status. The statute of limitations generally remains open for three tax years with the u.s. Federal jurisdiction or the various states and local jurisdictions in which omniair files tax returns.

THEY ARE ELIGIBLE FOR OMNIAIR CERTIFICATION SERVICES, INCLUDING DEVICE CERTIFICATION, LABORATORY AUTHORIZATION, TEST EQUIPMENT QUALIFICATION, AND FIELD TEST SITE AUTHORIZATION. ASSOCIATE LEVEL MEMBERS ALSO HAVE ACCESS TO OMNIAIR'S EXTENSIVE LIBRARY OF PROPRIETARY TESTING DOCUMENTS, AND ARE ELIGIBLE FOR PARTICIPATION IN OMNIAIR PLUGFESTS AND OTHER EVENTS. - EXECUTIVE LEVEL MEMBERS ENJOY THE SAME MEMBERSHIP PRIVILEGES AS ASSOCIATE LEVEL MEMBERS. IN ADDITION, EXECUTIVE LEVEL MEMBERS ARE ELIGIBLE TO STAND FOR ELECTION TO THE BOARD OF DIRECTORS AND MAY CHAIR WORKING GROUPS AND COMMITTEES. THEY ARE RESPONSIBLE FOR THE STRATEGIC, TECHNICAL, AND OPERATIONAL DEVELOPMENT OF OMNIAIR, ITS ADVISORY COMMITTEES AND CERTIFICATION SERVICES. THEY ACT AS LIAISONS TO THE TRANSPORTATION COMMUNITY FROM A POLICY STANDPOINT. THEY ARE ELIGIBLE TO BE ELECTED TO THE BOARD OF DIRECTORS, AND TO CHAIR COMMITTEES AND WORKING GROUPS. - SUSTAINING PARTNERS ARE FULLY LEVERAGING THE BENEFITS OF ALL INCLUSIVE MEMBERSHIP OPTION, WHICH GRANTS MEMBERS ACCESS TO UNLIMITED CERTIFICATION SERVICES AND COMPLEMENTARY ENTRY TO OMNIAIR EVENTS. ALL SUSTAINING MEMBERS RECEIVE THE FOLLOWING BENEFITS AT NO ADDITIONAL COST: - EXECUTIVE LEVEL MEMBERSHIP (ELIGIBILITY FOR LEADERSHIP POSITIONS) - UNLIMITED DEVICE CERTIFICATION APPLICATIONS, INCLUDING REFERENCE DEVICES - UNLIMITED TEST EQUIPMENT QUALIFICATIONS - UNLIMITED TEST LABORATORY AUTHORIZATIONS - UNLIMITED FIELD TEST SITE AUTHORIZATIONS - NO FEES FOR RE-CERTIFICATIONS, RE-LABELING, OR VARIANTS - TWO COMPLIMENTARY TICKETS TO ALL OMNIAIR WORKSHOPS AND WEBINARS - ONE DEVICE TESTING OR TEST STATION TICKET (FOUR ATTENDEES, TWO DEVICES) PER PLUGFEST. ALL OMNIAIR MEMBERS MAY NOMINATE CANDIDATES FOR ELECTION TO THE BOARD OF DIRECTORS. THE OMNIAIR BOARD OF DIRECTORS ELECTS DIRECTORS FROM A SLATE APPROVED BY THE NOMINATING COMMITTEE OF THE BOARD. THE BOARD OF DIRECTORS ELECTS THE EXECUTIVE COMMITTEE; CAN CREATE OR DISBAND WORKING GROUPS, COMMITTEES, AND AD HOC TASK FORCES, AND PROVIDE FINAL APPROVAL OF WORK PRODUCTS PRODUCED BY OMNIAIR WORKING GROUPS.
