Governance Explanations

Form 990, Part VI, Section B, Line 11

The treasurer of the organization reviews the return and then presents the complete return to the full board before filing. If the scheduled quarterly board meeting falls after the filing deadline, the treasurer will present to the executive committee before filing, and will then share with the full board at the next scheduled meeting.

Form 990, Part VI, Section B, Line 12C

It is the policy of the organization to require fiduciaries to provide full disclosure of any contemplated or existing activities or transactions that could create a conflict of interest, or the appearance of a conflict of interest. Fiduciaries include each director, officer and administrative employees of the organization. Each fiduciary must, on an annual basis, execute a conflict of interest disclosure statement and a questionnaire. The board of directors will review all disclosures and potential conflicts and recommend a course of action, if necessary, with respect to such persons or conflicts.

Form 990, Part VI, Section B, Line 15A

The independent board determines the compensation of the executive director based on its evaluation of his/her performance and by gathering data on comparable compensation within the industry. No review was performed this year, as a new executive director was hired.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents and financial statements available to the public upon request.

Additional Explanations

FORM 990, PART XI, LINE 2C:

The process has not changed from the prior year.

Financial Statement Notes

PART X, LINE 2:

The organization has been determined by the internal revenue service to be a not-for-profit organization and is exempt from income taxes under section 501(a) subsection (c)(3) of the internal revenue code ("irc") and section 23701(d) of the california revenue and taxation code ("crtc"), whereby only unrelated business income, as defined by section 512(a)(1) of the irc and similar code sections of the crtc, is subject to income tax. Some of the items sold in the pirate store are not related to the tax-exempt purpose of the organization. Management tracks such sales and related costs separately and believes that the tax liabilities related to such sales for the years ended june 30, 2014 and 2013 were immaterial. Accordingly, no provision for income taxes related to these items has been provided for in the accompanying financial statements. The organization has evaluated its current tax positions and has concluded that, as of june 30, 2014, the organization does not have any significant uncertain tax positions for which a reserve would be necessary. The organization is no longer subject to examination by u.s. And state taxing authorities for years prior to june 30, 2012 and 2011, respectively.

DURING THE 2013-2014 YEAR, WE HOSTED THE PROGRAM MONDAYS THROUGH THURSDAYS THROUGHOUT THE SCHOOL YEAR FOR 77 ENROLLED STUDENTS, WITH AN AVERAGE OF 34 STUDENTS EACH DAY. HIGHLIGHTS OF THE YEAR INCLUDED TWO YOUNG WRITERS' WALL CELEBRATIONS, WHERE WE HONOR SIX STUDENTS AND FEATURE THEIR ACCOMPLISHMENTS WITH FULL COLOR PORTRAITS AND PROFILES ON THE BACK WALL OF OUR WRITING LAB, AND TWO ISSUES OF LOOK CLOSER/MIRA DE CIRCA, OUR ANTHOLOGY OF SHORTER STUDENT WORKS. WE ALSO STARTED A NEW PROGRAM, CALLED PATHWAYS, THAT IS OPEN ON TUESDAY AND THURSDAY EVENINGS TO SUPPORT 22 MIDDLE AND HIGH SCHOOL STUDENTS WITH THEIR HOMEWORK ASSIGNMENTS.
