Governance Explanations

Form 990, Part VI, Section B, Line 11B

The draft 990 is received from the accountants and reviewed by management and accounting personnel. The 990 is then provided to the finance and audit committee of the board for review and finally to the full board before it is submitted to the irs.

Form 990, Part VI, Section B, Line 12C

Each year, board members and key staff complete a conflict of interest questionnaire. The questionnaire asks individuals to disclose relationships, transactions, and any other applicable information that may indicate a potential conflict of interest. The documents are completed and retained in mira education files.

Form 990, Part VI, Section B, Line 15A

The president annually submits a performance report to the board. The executive committee reviews the report, takes into consideration the budget and comparable salaries, and makes a compensation decision. Other top management report to the president annually. Independent hr consultant does an annual data comparability review for each employee's role and compensation and documents analysis.
