The executive committee will document its decisions in the minutes of the meeting. The documentation of the ceo's compensation includes: a discussion of the ceo's responsibilities; annual performance review; description of the compensation, benefits, and approval date; list of committee members present during the discussion; actions taken with respect to any conflicts of interest by any member with respect to the decision on the compensation; and a record of the result of the compensation vote.”
