Mission and Program Overview

Mission

The national center on time and learning (nctl) is dedicated to expanding learning time to improve student achievement and enable a well-rounded education. Through research, public policy and technical assistance, we support national, state and local initiatives that add significantly more school time for academic and enrichment opportunities to help children meet the demands of the 21st century. Nctl provides direct technical assistance to states and districts and consults with educational leaders on policies to support expanded learning time initiatives.

National center on time & learning, inc. (nctl), d/b/a massachusetts 2020, and massachusetts 2020, inc. (mass 2020, inc.) (collectively, the organizations) are nonprofit corporations incorporated on october 13, 2000, in the commonwealth of massachusetts. The organizations were formed as nonprofit initiatives focused on expanding educational and economic opportunities for children and families across massachusetts.

All directors and key employees receive a copy of the conflict of interest policy and are required to complete a conflict of interest disclosure form each year.

Form 990, Part VI, Section B, Line 15A

Data is first collected by a survey of the 990's of comparable organizations. That information is then distributed to the compensation committee of the board of directors which reviews it, along with any mitigating circumstances particular to nctl. Following a performance review with the president, the compensation committee makes a salary recommendation to the full board during an executive session. A vote of the board is taken to approve the salary. Salaries for other key employees are reviewed and approved by the chairman of the board and the president.

Additional Explanations

Form 990, Part III, Line 3

During fiscal year 2016, nctl entered into a merger agreement with empower schools, inc. (empower schools) effective july 1, 2016, at which time nctl became the surviving corporation. In addition, nctl's name was changed to empower schools, inc. (the surviving corporation) and a new board of directors was formed. The president and treasurer of the new board of directors are also the chief executive officer and managing partner, respectively, of the surviving corporation.

FORM 990, PART XII, LINE 2C:

Finance & audit committee of board of directors is responsible for selection and oversight of independent auditors. On an annual basis, committee discusses process for upcoming audit, including timeliness, completeness, accuracy and pricing of work performed by auditors from previous year. Based on those criteria, committee determines if previous audit firm will be engaged again. Chair of finance & audit committee, who is also treasurer of board of directors, attends audit planning meeting with management and outside auditors and also attends final audit meeting, along with president, managing director of finance & operations, and coo.

Financial Statement Notes

PART X, LINE 2:

The organizations account for uncertainty in income taxes in accordance with asc topic, income taxes. This standards clarifies the accounting for uncertainty in tax positions and prescribes a recognition and measurement attribute for the combined financial statement regarding a tax position taken or expected to be taken in a tax return. The organizations have determined that there are no uncertain tax position which qualify for either recognition or disclosure in the combined financial statements at june 30, 2016 and 2015. The organizations' information returns are subject to examination by the federal and state jurisdictions.
