“Key senior management staff salaries and benefits were reviewed and evaluated by an independent compensation consultant, with the evaluation and recommendations presented to baim's board of trustees compensation committee. The presentation included comparability and contemporaneous substantiation. Key compensation reviews included the president, chief operating officer, cio, cfo, executive director of of biostatistics and aro services, and executive director of business development. Salaries of similar positions in twenty other non-profit organizations with similar research missions and objectives were used for comparability. The baim board evaluated the data and relevant responsibilities and determined compensation to be reasonable. Baim's board of trustees serve in an un-compensated capacity.”

“Dr. Gibson is the founder and ceo of the perfuse study group, devoted to analyzing various components of cardiovascular studies and publishing independent analyses. The perfuse study group has provided services to clinical trial sponsors directly involved with clinical trials. During the period 2003 to 2008, perfuse engaged the harvard clinical research institute (which was re-named in 2016 as the baim institute for clinical research) to serve as fiscal agent to invoice clinical trial sponsors for perfuse' work, and collect and disburse funds related to perfuse' work. The funds were not related to work performed by baim institute. While approximately 90% of the funds had been disbursed between 2003 and 2016, the final amount was disbursed in 2017, including payment to dr. Gibson. All payments to dr. Gibson occurred prior to his appointment as president and ceo of the baim institute, were paid by baim as fiscal agent, and were for work dr. Gibson performed for perfuse prior to 2017.”

“The board of trustees assumes responsibility for the oversight of the audit of its financial statements and selection of the independent accountant.”
