Changes to bylaws - revised december 2023: article v, section 3 - election and terms of office added term limits. The directors shall be elected by a majority vote of the entire board. Beginning as of july 1, 2023, directors shall be limited to serving one term of four years. Additional four-year terms for any director may be allowed by a majority vote of the entire board. Additional directors may be elected at any time by a majority of the entire board. Article v, section 6 - vacancies no longer an affirmative vote, but rather a majority vote is required to fill a vacancy. Article vi, section 4 - regular meetings changed it from two times a year to four times a year. Article vii, section 4 - term of office bylaws now specify term limits of two years without term limits, whereas before it was board discretion. Article xiv, section 3 - amendments bylaws now require a super majority vote to amend, whereas before it was simple a majority.

Clean energy infrastructure: transitioning to a global zero-carbon energy system requires us to address the limitations of our current infrastructure. Our current system is not equipped to meet the demand for increased capacity. We need to look at new kinds of power generation (both renewable and thermal), bigger volumes of electric power transmission, pipelines to move co2 and hydrogen, and storage for the carbon dioxide that is extracted from industrial processes. At catf, we work in concert with stakeholders and partners to tackle challenging questions and envision a path forward for the infrastructure we need to have 30 years from now and work with them to turn that vision into reality. Fusion energy: a new wave of investment into private enterprises is changing the landscape of fusion energy research and challenging the notion that it is purely a scientific endeavor. While numerous technological and commercial hurdles remain, the potential impact of the successful commercialization of fusion technology before 2050 would be substantial. Activities under this program look to understand the commercial viability, to facilitate effective public support, and to identify key policy, regulation, and market challenges or opportunities for commercial fusion efforts.

Zero carbon fuels - catf has identified six sectors that are especially challenging to decarbonize, and for which zero-carbon fuels could be particularly advantageous: marine shipping, heavy-duty long-haul trucking, ironmaking, high-temperature industrial process heating, aviation, and long-duration energy storage. In addition, building heating in very cold climates may be especially difficult to fully electrify due to peak grid loads, and other sectors of transport like offroad vehicles may not be fully decarbonized through electrification by 2050. Catf is executing on its comprehensive, multi-faceted approach within each of these sectors with rigorous analysis, public policy design, public education and advocacy, identification of needed innovation initiatives, and promotion of demonstration projects such as hydrogen hubs.

The organization, incorporated under chapter 180 of the massachusetts general laws as a tax-exempt entity, has been granted tax-exempt status under internal revenue code section 501(c)(3), and is, therefore, generally exempt from federal and state income taxes. Accordingly, no provision for income taxes has been included in the accompanying financial statements. The organization is required by asc 740-10, "income taxes", to evaluate and disclose tax positions that could have an effect on the organization's financial statements. The organization reports its activities to the internal revenue service and to the commonwealth of massachusetts on an annual basis. These informational returns are generally subject to audit and review by the governmental agencies for a period of three years after filing. Substantially all the organization's income, expenditures and activities relate to its exempt purpose, therefore, management has determined that the organization is not subject to unrelated business income taxes and will continue to qualify as a tax-exempt not-for-profit entity.
