Governance Explanations

Form 990, Page 6, Part VI, Line 11B

The board of directors has delegated responsibility for review of form 990 to the executive director. Directors receive a copy of the form 990 via email with an opportunity to comment before filing.

Form 990, Page 6, Part VI, Line 12C

Members for the board are required annually to complete a conflict of interest form. Those forms are distributed to the entire board and the board reviews and has an opportunity to discuss them at a board meeting.

Form 990, Page 6, Part VI, Line 15A

Board members researched the salaries at comparable not-for-profits in the boston area. The salary was further confirmed by the executive search firm retained to conduct the search for executive director. Compensation and new hires were also informed by/consistent with a compensation and benefit survey performed by a local nonprofit with a membership of organizations comparable to the conservancy.

Form 990, Page 6, Part VI, Line 19

The organization makes its governing documents available upon request. Form 990 is also available on the website.

IRS990/ProgSrvcAccomActy2Grp/Desc0CHARLES RIVER FLOATING WETLAND - THROUGH THE INSTALLATION AND MAINTENANCE OF A HUMAN-MADE ISLAND OF WETLAND PLANTS, THIS PROJECT IS EXPANDING THE TOOLS AVAILABLE TO SUPPORT A RESILIENT URBAN RIVER AND IS INCREASING THE COMMUNITY'S UNDERSTANDING OF LOCAL ECOSYSTEMS. THROUGH RESEARCH THAT HAS INCLUDED 3 YEARS OF WATER QUALITY MONITORING AND A FISH CAMERA, THIS FLOATING WETLAND IS PROVIDING INSIGHTS INTO HOW THESE INSTALLATIONS CAN BENEFIT AQUATIC ECOSYSTEMS. THROUGH YOUTH PROGRAMMING AND COMMUNITY OUTREACH, INCLUDING BUILD-YOUR-OWN-WETLAND KITS AND KAYAK TOURS, THE PROJECT IS ALSO A PLATFORM FOR EXPERIENTAL ENVIRONMENTAL EDUCATION.
