Governance Explanations

Form 990, Part VI, Section A, Line 6

Membership to cts shall be open to all citizens of the communities served by cts, as set forth in the articles of organization.

Form 990, Part VI, Section A, Line 7A

Members may be appointed by the executive body of the community they reside in or by election to membership by the board of directors.

Form 990, Part VI, Section B, Line 11

The assistant controller of ctaa reviews the draft form 990 and confirms that all numbers tie to the audit and financial report. The finance director's review of the form 990 is broader in scope. The finance director of ctaa will review the draft form 990's program accomplishment information for how it impacts the 501(c)(3) status of the organization. After the finance director of ctaa reviews the draft form 990, a general review is given to the executive director and any questions will be answered. Before the form is signed, a draft copy of the form is sent to the entire board of directors. If there are any questions or concerns, the finance director of ctaa will address them. When all the questions and concerns have been addressed, the federal form 990 is electronically filed with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

Members of the board of directors are provided with a copy of the conflict of interest policy annually, which must be signed and returned for review to both the president and the ctaa executive director. Members of the board of directors must also report potential conflicts of interest promptly and in writing to both the president and the ctaa executive director. The president and executive director will jointly suggest a resolution to the situation that is in the best interest of cts.

Form 990, Part VI, Section C, Line 19

Governing documents, conflict of interest policy, and financial statements are available upon request.
