“The executive committee is comprised of the chair, vice chair, treasurer, secretary, the immediate past chair and the president & ceo. They have and may exercise the powers and authority of the board, except that no committee, including but not limited to the executive committee, shall have any power or authority as to the following: 1) the filling of vacancies on the board, 2) the adoption, amendment or repeal of the bylaws, 3) the amendment or repeal of any resolution of the board, or 4) action on matters committed by the bylaws or by resolution of the board to another committee of the board.”
“The form 990 is prepared by an independent accounting firm. Then the audit committee reviews, in detail, the draft form 990 with the internal accountant. Afterward, a draft copy of the form 990 is made available to the board before final filing.”
“Annually every board member receives a copy of the conflict of interest policy and is asked to sign off on the policy at that time. Potential conflicts are reported to the president or the board. If there is a conflict or potential conflict, the board member will recuse themselves from deliberation and any vote over the matter. Disclosures of potential conflicts, if any, are reviewed and continue to be monitored throughout the year to enable the organization to be able to address any conflicts that may arise in a timely manner.”
“All officer and key employee pay is based on the following criteria: 1) performance of the individual, 2) market analysis (pay comparables for position and location), 3) cost of living. This review process and the final determinations are timely documented in the board minutes with the approval of the annual budget. Form 990, part vi, section b, line 15a: the pay recommendation for the president and ceo is proposed by the chair and is then reviewed and approved (or modified) by the chair, vice chair and governance chair, and then finally the board. Form 990, part vi, section b, line 15b: pay recommendation for other officers and key employees are proposed by the president and ceo and the chair. They are then reviewed and approved (or modified) by the board during the budget approval process for personnel expenses. The process described for president and ceo and other officers and key employees was last completed in 2024.”
“Copies of the governing documents, conflict of interest policy and financial statements are distributed to the board of directors, and are made available to others upon request.”
“Acha is recognized as an organization exempt from federal income tax under section 501(c)(3) of the internal revenue code of 1986. The organization qualifies for charitable contribution deductions and is classified as an organization that is not a private foundation. Income that is not related to exempt purposes, less applicable deductions, would be subject to federal and state corporate income taxes. Acha had no net unrelated business income for the years ended december 31, 2024 and 2023. Management evaluated acha's tax positions and concluded that acha had taken no uncertain tax positions that require adjustment to the financial statements. Consequently, no accrual for interest and penalties was deemed necessary for the years ended december 31, 2024 and 2023.”
