The board of directors reviews and approves the form 990 prior to its filing. The form 990 is then authorized and signed by the organization's chief executive officer.

Form 990, Part VI, Section B, Line 12C

In december 2017, the organization formally adopted a written conflict of interest policy. The policy requires an annual declaration from all board members and senior management as to the existence and disclosure of any potential conflicts of interest. The board members sign a disclosure statement. Any potential conflicts are discussed by the dis-interested board members, while the party in potential conflict is required to leave the room. Board meeting minutes will document the discussion and decision- making process. In the event of a potential conflict, procedures to obtain competitive bids and diligence on fair market value will be established.

Form 990, Part VI, Section B, Line 15A

Prior to june 2017, massachusetts wonderfund inc. (the "wonderfund") did not have any employees or other paid personnel, as the organization was supported by the efforts of outside volunteers, including support from the massachusetts department of children and families ("dcf"). The wonderfund was managed primarily by these volunteers and by its board of directors (collectively, the "board"). Accordingly, there was no formal compensation policy or compensation committee adopted or established by the board at that time. As part of a general strategic initiative subsequently undertaken by the organization, it was agreed that the wonderfund needed to retain additional resources in order to grow and expand its ability to support the needs of children involved with dcf. As part of this overall initiative, the board proposed that there was a critical need for an executive who could bring significant fundraising capabilities to the organization. A recently appointed board member was identified as having these required skills and capabilities. Following a more formal interview and approval process, this individual was hired as chief executive officer of the wonderfund in june, 2017. As part of the process of identifying and appointing the wonderfund's ceo, the board considered a reasonable and competitive executive total compensation package consistent with market-based compensation practices for individuals possessing the experience and skills needed to improve the overall performance of the organization.
