Mission

Prior to transferring the majority of their assets during 2010, tas-csh, inc. Was a catholic health care system rooted in the history of the archdiocese of boston. As a community of health care providers, we affirmed christ's healing ministry, foster excellence in care and committed ourselves to those in need in accordance with the principles of the catholic church. Through our programs and services, which covered the spectrum of health care, we affirmed the sanctity of life, advocated for the poor and disenfranchised and exercised responsibility for the common good. With just stewardship of our human and material resources, we pledged to strengthen this health care ministry through sound health care practice, research, education and innovation. Currently, tas, csh, inc. Is in the process of winding down the organzation.

Governance Explanations

FORM 990, PART VI, SECTION A, LINE 3:

During 2010 tas-cc together with certain of its subsidiaries (caritas) entered into an asset purchase agreement (the asset purchase agreement) with steward health care system llc (steward), an affiliate of cerberus capital management, l.p. (cerberus pursuant to which caritas agreed to sell and assign substantially all of its business, assets, and operations to steward and/or its designated wholly owned subsidiaries. A board of directors was appointed by the shareholders of steward health care system, llc (steward) who are committed, well-qualified to provide appropriate oversight of steward and its management team. James j. Karam & ralph de la torre were appointed to serve on the board of directors of steward and were previously board members of caritas. In addition the senior management team employed by caritas became employed by steward.

Tas-cc, inc. Is the sole member of the organization and elects the board of directors. There are no classes of directors. Tas-cc, inc. Has the power to remove directors, to fill vacancies, and to increase or decrease the size of the board.

The organization requires that key employees, members and officers of the board of directors and any member of any committee disclose in writing (and update annually) all business and other relationships which might potentially create a conflict of interest as defined by the policy. The written disclosure shall include an itemization of any substantive conflict of interest for such individual by virtue of his or her activities. The conflict of interest policy is reviewed and communicated to ensure individuals with outside relationships do not inappropriately participate in business decisions of the organization in which they are not independent. The conflict of interest policy and procedure are currently under review and revision.
