Governance Explanations

Form 990, Page 6, Part VI, Line 3

The organization entered into a management agreement with the brockton housing authority (bha) under which the bha will provide both ongoing operating management services and construction management services to the organization. Under the terms of the agreement, the organization will pay a management fee equal to 11% of gross revenue associated with the rent of dwelling units. A portion of the fee, 4% is guaranteed; 2% is only payable out of net cash flow as defined. The remaining 5%, the incentive fee, is also payable out of net cash flow. However, if there is insufficient net cash flow for the year to pay the incentive fee, such fee will not accumulate or be considered due and owing. Management fee expense at december 31,2015 aggregated 78,233. Accrued management fees at december 31, 2015 aggregated 61,190.

The organization has adopted the provisions of asc 740-10. This provision provides that an enterprise should determine whether it is more likely than not that a tax position will be sustained upon examination and any differences between tax positions taken in a tax return and amounts recognized in financial statements based on this position will result in either a reduction in a deferred tax asset or an increase in a deferred tax liability. As a result of this implementation, the organization determined that no liability is needed to be recognized.

UNDER THE TERMS OF THE AGREEMENT, THE ORGANIZATION WILL PAY A MANAGEMENT FEE EQUAL TO 11% OF GROSS REVENUE ASSOCIATED WITH THE RENT OF DWELLING UNITS. A PORTION OF THE FEE, 4% IS GUARANTEED; 2% IS ONLY PAYABLE OUT OF NET CASH FLOW AS DEFINED. THE REMAINING 5%, THE INCENTIVE FEE, IS ALSO PAYABLE OUT OF NET CASH FLOW.
