Governance Explanations

Form 990, Part VI, Section A, Line 8B

The alliance for inclusion and prevention (aip) does not currently have any committees with authority to act on behalf of the governing body.

Form 990, Part VI, Section B, Line 11B

The form 990 is reviewed and approved by the executive director of the organization. It is also distributed to the board of directors prior to being filed with the irs.

Form 990, Part VI, Section B, Line 12C

The organization has adopted a conflict of interest policy that is applicable to all officers, the executive director, and directors with powers delegated to it by the board (collectively, "interested person"). In accordance with the policy, annually, each interested person must provide a signed attestation regarding the conflict of interest policy. Upon disclosing a financial interest to the board by an interested person, and after any necessary discussion, the interested person will leave the meeting and the remaining members of the board will determine if a conflict actually exists. If a conflict is deemed to exist, the disinterested directors will review and vote upon whether the transaction is in the best interests of the organization and whether it is fair or reasonable. The interested person may make a presentation to the board but must leave the meeting prior to any discussion/vote on the transaction.

Form 990, Part VI, Section B, Line 15A

The board reviews the executive director's performance and sets compensation after an annual review by the board. Compensation is set after the review and based on aip's budget parameters as set by the board. The executive director sets other employees' salaries based on performance and budget parameters. All decisions regarding compensation (which is part of the annual budget review and approval) are documented in writing.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.
