Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee is composed of the officers of the board of directors. Others can be appointed to the executive committee at the discretion of the chair. The executive committee shall, under the direction of the board, have charge of the activities of the institute, and in addition, between sessions of the board of directors, shall have all the powers of the board of directors in the management and direction of the business and affairs of the institute except as limited by law, by the institute's articles of incorporation or these bylaws, and shall report to the board of directors action which the committee takes on behalf of the board.
