Governance Explanations

Form 990, Part VI, Section A, Line 7A

The organization has members that consist of member state or metropolitan area juvenile facilities. Each facility appoints a representative who has one vote at the annual meeting to elect the four officers of the organization. Each of the 4 pre-defined regions elect the remaining 4 directors, one from each region.

Form 990, Part VI, Section B, Line 11B

The organization reviews form 990 internally and once management has approved the 990 a copy is distributed to the board of directors before it is filed with the irs. The finance committee reviewed the 990 prior to distribution to the full executive board.

Form 990, Part VI, Section B, Line 12C

In the capacity as board of directors members have a fiduciary duty to conduct themselves without conflict to the interest of the organization. For this reason cjja has adopted a conflict-of-interest policy that is applicable to all board and committee members with powers delegated to it by the board (collectively, "interested person"). In accordance with the policy, annually, each interested person must provide a signed attestation regarding the conflict of interest policy. Upon disclosing financial interest to the board and committee members by an interested person, and after any necessary discussion, the interested person will leave the meeting and the remaining board members will determine if a conflict actually exists. If a conflict is deemed to exist, the disinterested director and committee members will review and vote upon whether the transaction is in the best interests of the organization and whether it is fair or reasonable. The interested person may make a presentation to the board and committee, but must leave the meeting prior to any discussion/vote on the transaction.

Form 990, Part VI, Section B, Line 15

The organization performs internal performance reviews of all employees on an annual basis. The board of directors review and evaluate the performance of the executive director and approve any changes to compensation. The executive director reviews and evaluates the performance of the key employees annually and approves any resulting raises. The executive director reports the results of this process to the board of directors. All decisions regarding compensation are documented in writing.

PART X, LINE 2:

The organization is a nonprofit organization as described in section 501(c)(3) of the internal revenue code and is exempt from federal and state income taxes on trade or business profits generated by activities related to the organization's exempt function. The organization may be subject to federal and state income taxes for profits generated from trade or business activities unrelated to the organization's exempt function. As of june 30, 2025 and 2024, management believes that the organization has not generated any unrelated business taxable income. The organization assesses the recording of uncertain tax positions by evaluating the minimum recognition threshold and measurement requirements a tax position must meet before being recognized as a benefit in the financial statements. The organization's policy is to recognize interest and penalties accrued on any uncertain tax positions as a component of income tax expense, if any, in its statements of activities. The organization has not recognized any liabilities for uncertain tax positions or unrecognized benefits as of june 30, 2025 and 2024. The organization does not expect any material change in uncertain tax benefits within the next 12 months.
