“Policies and procedures all officers and directors assume responsibility for considering possible conflicts of interest that arise during service with mpci. To help officers and directors identify possible conflicts of interest, mpci has developed a disclosure form that must be completed and updated at least annually during the course of their service. Officers and directors must also disclose any conflict of interest as soon as they become aware of any conflict. The chair of the board and executive director of mpci will review the disclosures and investigate any reported conflicts of interest in the strictest confidence and fairly. The chair and the executive director consider the best interests of mpci and the nature of the conflict. They evaluate the circumstances of the issue or transaction to ensure that it is reasonable and that they have considered any potential implications of entering into a transaction or deciding an issue where a conflict exists. The chair and the executive director may consider whether advice from legal counsel or other independent advisors is necessary in particular instances. The chair and the executive director will deliberate on the reported conflict and make one of two determinations: that no material conflict of interest exists and no action is necessary or that a material conflict of interest does exist and determine how to address the identified conflict. These findings will be communicated to the board of directors and the board meeting minutes shall reflect the nature of the conflict and the chair and executive director's determination with respect to the specific procedures the member will follow regarding the issue or transaction.”
“Determining compensation the executive director is subject to an annual performance review conducted by the board of directors, as mandated by terms of his employment contract. The review utilizes compensation data of comparable organizations to determine compensation of the executive director for the following fiscal year. Compensation is presented to the board of directors (in the absence of the executive director) at the annual board meeting in june. At this meeting, voting board members approve executive compensation. The entire process is documented in the minutes of the board of directors.”
