Governance Explanations

Form 990, Part VI, Section A, Line 2

Clement benenson and stephanie benenson have a family relationship.

Form 990, Part VI, Section B, Line 11B

The finance and audit committee conducts a detailed review of the form 990 prior to filing. After any necessary revisions are made, the final draft is filed and distributed to the full board of trustees for review and comment.

Form 990, Part VI, Section B, Line 12C

On an annual basis, each officer, director and key employee is required to complete and sign a conflict of interest statement. The statements are reviewed by the secretary of the board of trustees. Any conflicts are brought to the attention of an appropriate officer, director or senior manager to determine the appropriate course of action in resolving the conflict. If a conflict is found to exist, the conflicted individual is prohibited from participating in any decisions relative to the source of conflict.

Form 990, Part VI, Section B, Line 15

Compensation for officers, key employees, and the five highest compensated employees is determined by reference to comparability data and is reviewed by a sub-committee of the board of trustees. Compensation for the executive director is also approved by a subcommittee of the board of trustees. All other museum employees are subject to third party benchmarking to determine the market rate for their respective positions.

Form 990, Part VI, Section C, Line 19

The museum's form 990, financial statements, governing documents and conflict of interest policy are made available in hard copy or electronically upon request. The form 990 and the financial statements are also available on the organization's website. The 990 is also available on the the massachusetts attorney general's website and at www.guidestar.org.

FORM 990, PART III, LINE 4B, DESCRIPTION OF PROGRAM SERVICE:

Curatorial and collections: nationally and internationally recognized thought leaders in their respective fields, the curatorial staff is responsible for conceiving and organizing exhibitions and cultivating support for the museum's programmatic initiatives and collection. Curators acquire, research, and interpret the museum's collection. The curatorial staff also prepares and publishes scholarly catalogues and educational texts related to the exhibitions and the collection. The museum's collection encompasses more than 850,000 works representing art and culture globally. Several of the principal collecting areas began with the museum's founding in 1799 and are the first of such material among american museums. Other areas of the collection are the best or largest among american or international museum collections. During fy23 (july 2022 june 2023) the museum added, through purchase and donation, 505 new works of art to its collections, and continues to collect selectively in almost all areas of the collection through gift, purchase, and bequest. Pem's collection areas include: african, american, architecture, asian export, chinese, contemporary, fashion and textiles, japanese, korean, maritime, native american, oceanic, photography, and south asian, as well as the collections of the phillips library.

FORM 990, PART III, LINE 4C, DESCRIPTION OF PROGRAM SERVICE:

Learning & community engagement: the museum's department of learning and community engagement develops and implements a wide array of public programs, school programs, and museum tours. It also provides materials to help visitors of all ages with diverse backgrounds, knowledge, interests, preferences and needs gain insight about themselves and the world around them through an understanding of international art and culture. The l & ce department works to deepen engagement and uplift community voices to encourage new, diverse, multigenerational audiences through the bilingual initiative and establishing local partnerships. This department also oversees the art & nature center (anc) which showcases original exhibitions that investigate our interconnections with nature through contemporary art, memorable objects, and interactive experiences. Designed for visitors of all ages, the family-friendly center features changing exhibitions, hands-on displays, and art-making spaces. The department of learning focuses on several broad audience areas - early childhood, k-12 students, teachers, families, and adults from college age through senior citizens - to offer experiences and resources connected to our collections, exhibitions, and to themes that are relevant to all of our audiences today: equity and belonging, wellness, and climate + environment. During fy23 (july 1st, 2023 through june 30, 2024), the anc's gallery spaces welcomed an estimated total of 108,000 guests (66,000 in the changing exhibition bats! Real and imagined on view sept. 9, 2023 - july 28, 2024, and 42,000 in the anc's ongoing display space known as the pod). The department of learning & community engagement hosted 108 distinct public programs, both virtual and in-person, with 20,019 participants and viewers, as well as 59 tours for adult audiences totaling 896 visitors, and 41 in-person programs at retirement communities totaling 680 participants. We also hosted 318 school visits (ranging from kindergarten to college) which welcomed 10,160 total students and their educators.

Financial Statement Notes

PART III, LINE 1A:

The collections, which were acquired through purchases and contributions since the museum's inception, are not recognized as assets on the statements of financial position. Purchases of collection items are recorded as decreases in net assets without donor restrictions in the year in which the items are acquired. Proceeds from deaccessions or insurance recoveries are reflected as increases in the appropriate net asset classes. Collection items purchased are funded by purpose-restricted gifts or from net appreciation on acquisition endowments.

PART III, LINE 4:

The peabody essex museum (the museum) presents art and culture from new england and around the world. The museum's collections are among the finest of their kind, showcasing an unrivaled spectrum of american art and architecture (including four national historic landmark buildings) and outstanding asian, asian export, native american, african, oceanic, maritime, contemporary, photography, and fashion and design collections. In addition to its vast collections, the museum offers a vibrant schedule of changing exhibitions and a hands-on education center. The museum campus features parks, period gardens, and 24 historic properties, including yin yu tang, a 200-year-old home that is the only complete example of chinese domestic architecture on display in the united states.

PART V, LINE 4:

To provide both general and specific support for museum operations.

PART X, LINE 2:

The museum accounts for the effect of any uncertain tax positions based on a "more likely than not" threshold to the recognition of the tax positions being sustained based on the technical merits of the position under scrutiny by the applicable taxing authority. If a tax position or positions are deemed to result in uncertainties of those positions, the unrecognized tax benefit is estimated based on a "cumulative probability assessment" that aggregates the estimated tax liability for all uncertain tax positions. Interest and penalties assessed, if any, are accrued as income tax expense. The museum has identified its status as a publicly supported tax exempt entity and its classification of revenues as related or unrelated as its only significant positions and has determined that such positions do not result in an uncertainty requiring recognition. The museum's federal and state income tax returns are generally open for examination for the three years after the date of filing of the related return.
