Governance Explanations

Form 990, Part VI, Section B, Line 11B

Upon receiving drafts from our cpa firm (auditors), bostonsight will take the following steps to assure accuracy and compliance with federal tax regulations. The president and cfo of bostonsight will review the form 990 in detail including account groupings. Upon satisfactory review, the bostonsight treasurer will submit the form 990 draft to the bostonsight audit committee. The cpa firm will hold a meeting for the audit committee to address any concerns or questions. Upon satisfactory review by the audit committee, the final form 990 will be generated by the cpa firm. The final copy of the form 990 will be emailed to all board members before filing.

Form 990, Part VI, Section B, Line 12C

We require bostonsight directors, officers, and key employees to sign a conflict of interest acknowledgement and disclosure statement annually. The ceo and cfo review the forms and determine if a potential conflict exists. Any individual that has a conflict is recused from discussion and voting on the given topic.

Form 990, Part VI, Section B, Line 15A

The ceo's compensation was reviewed by an independent consultant.

Form 990, Part VI, Section C, Line 19

The governing documents, conflict of interest policy and audited financial statements are available from the organization upon request. The form 990 and audited financial statements are available via the massachusetts attorney general's website. The form 990 is also available at www.guidestar.org.

Additional Explanations

Form 990, Part XII, Line 2C

Bostonsight has not changed its oversight and selection process from the prior year.

Financial Statement Notes

PART V, LINE 4:

The endowment is solely used to support patient services.

PART X, LINE 2:

Bostonsight accounts for uncertainty in income taxes in accordance with asc topic 740, income taxes. This standard clarifies the accounting for uncertainty in tax positions and prescribes a recognition threshold and measurement attribute for the financial statements regarding a tax position taken or expected to be taken in a tax return. Bostonsight has determined that there are no uncertain tax positions which qualify for either recognition or disclosure in the combined financial statements at december 31, 2024. Bostonsight has identified its tax status as a tax exempt entity and its determination of which activities are related and unrelated as its only significant tax positions and has determined that such tax positions do not result in an uncertainty requiring recognition. Bostonsight is not currently under examination by any taxing jurisdiction. Federal and state income tax returns are generally open for examination for three years following the date filed.
