The compensation committee functions as a performance review of the President and the Chief Operating Officer and makes compensation recommendations to the Board that are used in determining compensation. The process includes review and approval by independent persons, the use of comparability data, and contemporaneous substantiation of the process, which is captured in the minutes.”
