“After the Form 990 is prepared, but before it is filed with the IRS, the completed form will be presented to the Audit Committee of the Board of Directors, who will be given at least one week to review and provide feedback and revisions. The completed form will then be sent to the remaining members of the Board of Directors. The Form 990 may be filed with the IRS only after all comments from the audit committee and the remaining board members comments have been addressed and the head of the audit committee has given final approval.”

“We, the Directors of Electronic Frontier Foundation, EFF, resolve that each member of the Board of Directors and staff shall make his or her best efforts to disclose any potential conflict of interest that he or she has, or that any member of his or her immediate family has, due to having material economic involvement regarding any matter being discussed at EFF. The Board or staff member may also disqualify himself or herself and be excused from the meeting until discussion is over on the matter involved. The president of the meeting is expected to make inquiry, if such conflict appears to exist, and the Board member or staff has not made it known.”

“EFF adopted a policy that requires the analysis of compensation of key employees, including the Executive Director, Legal Director and other top management officials, on at least an annual basis. The salaries shall be compared to equivalent organizations based on mission, budget size, job description, demands, and other factors. Based on the analysis, the Compensation Committee shall conclude on whether each officer and key employee's compensation is appropriate. Such analysis shall be documented and filed in the corporation's records. The Compensation Committee will also propose a reasonable salary for the Executive Director for full board approval based on this analysis.”

“EFF makes documents available to the public upon request.”

“EFF was formed to perform the following activities: 1) To use the unique expertise of leading technologists, activists, and attorneys in our efforts to defend free speech online, fight illegal surveillance, advocate for users and innovators, and support freedom-enhancing technologies; 2) To educate the general public as well as foster discussion & public policy analysis regarding relationships between technology and society and the legal, technical, and social issues raised by existing and new technologies; 3) To conduct scientific research and develop new technological tools in the public interest to ensure advances in digital, computing and communication technology are accessible to and serve the general public, as well as to make the results of such research available to the public on a non-discriminatory basis; and 4) To conduct litigation in the public interest to support privacy and free expression, to safeguard individual autonomy, and to preserve and protect human and civil rights as emerging technologies proliferate throughout society.”
