The form 990 is reviewed by the finance committee and provided to the full board prior to filing.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy applies to directors, officers and employees. Any situation that involves or may reasonably be expected to involve a conflict of interest, should be disclosed promptly to any member of the nominating and corporate governance committee. The organization has a separation of functions and a dual signature policy to minimize any issues. Board members with a conflict on any voting manner are required to recuse themselves.

Form 990, Part VI, Section B, Line 15

The organization has a hoc committee of the board that reviews market rates, cost of living, ceo performance, equity, etc. And makes a recommendation to the full board for compensation. The data collected and reviewed is substantiated and documented. The full board votes and the vote is recorded in the board minutes. The deliberation is done in an executive session and may or may not be detailed in the minutes depending on the decision of those involved in the conversation. The amount and vote are documented. Minutes are voted for acceptance by the board at the next meeting. The process for determining compensation of any other staff members is detailed in the budget voted on by the board of directors but the ceo has the power to change a staff person's salary during the year. The process described here was last completed in 2025.
