Governance Explanations

Form 990, Page 6, Part VI, Line 6

Membership shall be open to companies, corporations, associations, firms, or individuals located or having a presence in the territorial jurisdiction of the chapter having a direct and major interest in the professionally installed home improvement and remodeling market. Classes of membership in this chapter shall be: 1. "regular members" comprised of remodeling contractors; 2. "local affiliate members" comprised of companies, corporations, associations, firms, or individuals who are members in good standing of the national association of the remodeling industry ("nari national") upon payment of chapter member dues. 3. "honorary members" comprised of any companies, corporations, associations, firms, or individuals as the board of directors may authorize. Honorary members shall have no local or national vote, and cannot hold elected office. 4. "associate members" comprised of, but not limited to, design professionals, service organizations, lenders, suppliers, professional service providers and such organizations and individuals as the board of directors may authorize. 5. "student member" student member class of membership will be available to individuals who meet the following requirements a. Full or part time students engaged in at least a six hour credit curriculum; b. Completes the chapter membership application c. Enrolled in an accredited high school, vocation training school, or college level program; and d. Who are concentrating on a curriculum relevant to the construction and/or remodeling industry. 6. "retired member" retired member class of membership will be available to individuals who meet the following requirements a. Held membership in pro new england and nari, its predecessor organization, for 10 consecutive years or more, unless approved by the president; and b. Fully retired from the remodeling/building industry; and c. Provides a minimum of 10 hours of service to pro new england annually, unless approved by the president; and d. Completes the chapter membership application.

There shall be a nominating committee led by the chair of the board and including the president, up to three active past presidents appointed by the chair of the board on or before september 1 of each year. The president, with the boards approval, may appoint current or retired board members to serve. The nominations committee shall be approved by the board of directors at least 90 days prior to the annual meeting. Nominations may be made by the membership at large, providing they are received, in writing via email, mail or facsimile, by the executive director at least sixty (60) days prior to the annual meeting. At least three weeks prior to the annual meeting of the chapter, the nominations committee shall provide the secretary with the list of nominees approved by the nominations committee via mail, email or facsimile. At least two weeks prior to the annual meeting of the chapter, the secretary or executive director shall notify all chapter members of the list of nominees approved by the nominations committee via mail, email, or facsimile. Officers and directors shall be elected at the annual meeting. Election shall be by a majority vote of the members in good standing, present and voting. Each member company has one vote only. Balloting in contested elections may be by secret ballot at the discretion of the president, but verification of the outcome must be verified by the board of directors. Recommended qualifications for nominees are as follows: members of the board of directors: a member of the chapter for at least one year. Officers: a member of the chapter for at least one year. President: served at least one full term as a vice president.

The chapter's bylaws may be amended or repealed by a two-thirds vote of the chapter's voting membership present and voting at a meeting, with a quorum present, provided that at least a thirty (30) day notice of any proposed amendment has been posted on the chapter's website or published in the chapter's newsletter and mailed, emailed or faxed to every member.

Each officer and director has a duty to disclose any conflict of interest. Each officer and director shall annually sign a statement which affirms such person has received a copy of the conflict of interest policy, read and understands the policy, has agreed to comply with the policy and understands the organization is charitable and in order to maintain its federal tax exemption must engage primarily in activities which accomplish one or more of its tax-exempt purposes. To ensure compliance with the policy, periodic reviews are made to ensure the officers and directors are not in violation of the policy. If it is believed that an officer or director has failed to disclose a possible conflict of interest, the governing board shall inform the officer or director and afford the individual an opportunity to explain the alleged failure.

The remodelers conference is a day-long educational conference where members of the remodeling industry study, learn, and earn continuing education credits to maintain licenses. The women in residential remodeling summit is a half-day conference focused on topics of interest to women in the industry which is historically male-dominated.

"LOCAL AFFILIATE MEMBERS" COMPRISED OF COMPANIES, CORPORATIONS, ASSOCIATIONS, FIRMS, OR INDIVIDUALS WHO ARE MEMBERS IN GOOD STANDING OF THE NATIONAL ASSOCIATION OF THE REMODELING INDUSTRY ("NARI NATIONAL") UPON PAYMENT OF CHAPTER MEMBER DUES. 3. "HONORARY MEMBERS" COMPRISED OF ANY COMPANIES, CORPORATIONS, ASSOCIATIONS, FIRMS, OR INDIVIDUALS AS THE BOARD OF DIRECTORS MAY AUTHORIZE. HONORARY MEMBERS SHALL HAVE NO LOCAL OR NATIONAL VOTE, AND CANNOT HOLD ELECTED OFFICE. 4.
