Governance Explanations

The organization's president, treasurer and outsourced accounting firm perform a detailed review of the form 990. Once approved, a copy of the final form 990 is provided to all other board members prior to being filed with the irs.

Form 990, Part VI, Section B, Line 12C

The board has approved a conflict of interest policy which is applicable to all directors/trustees, officers, members of a committee with governing board delegated powers, or senior employees who have a direct or indirect financial or duality interest (collectively, "interested persons"). The policy requires interest persons to disclose any actual or possible conflicts of interest and all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. After such disclosure, the interested person must leave the meeting while the remaining board or committee members shall decide if a conflict of interest actually exists, review alternatives, and vote on whether or not to approve the transaction. In addition, each interested person is required to annually sign a statement acknowledging their receipt and understanding of the policy, their agreement to comply with the policy, and provide information related to any actual or possible conflicts of interest.

Form 990, Part VI, Section B, Line 15

The compensation of the organization's executive director is determined by the full board (except for the president, since the president is also the executive director). The treasurer researches compensation data for similar positions at similar organizations to determine the reasonableness of the compensation. Such research is contemporaneously documented, and the decision is documented in the minutes of the board meeting. This process was last undertaken for the executive director's compensation in september 2018. The organization does not compensate anyone else meeting the definition of an "officer or "key employee", as defined by the irs.

AFTER SUCH DISCLOSURE, THE INTERESTED PERSON MUST LEAVE THE MEETING WHILE THE REMAINING BOARD OR COMMITTEE MEMBERS SHALL DECIDE IF A CONFLICT OF INTEREST ACTUALLY EXISTS, REVIEW ALTERNATIVES, AND VOTE ON WHETHER OR NOT TO APPROVE THE TRANSACTION. THE TREASURER RESEARCHES COMPENSATION DATA FOR SIMILAR POSITIONS AT SIMILAR ORGANIZATIONS TO DETERMINE THE REASONABLENESS OF THE COMPENSATION. SUCH RESEARCH IS CONTEMPORANEOUSLY DOCUMENTED, AND THE DECISION IS DOCUMENTED IN THE MINUTES OF THE BOARD MEETING. THIS PROCESS WAS LAST UNDERTAKEN FOR THE EXECUTIVE DIRECTOR'S COMPENSATION IN SEPTEMBER 2018.
