Governance Explanations

Form 990, Part VI, Section B, Line 11

Prior to filing, the form 990 is reviewed by the chief financial officer and then presented for approval to the chief executive officer and the board of directors. This presentation may be done electronically if time constraints do not allow for a board meeting prior to filing. Form 990 is signed by the treasurer of the board of directors.

Form 990, Part VI, Section B, Line 12C

Annually all officers, directors, and key employees are required to complete a conflict of interest disclosure form. The cfo is responsible for obtaining and reviewing the completed forms. Any potential conflict is discussed at the board meetings.

Form 990, Part VI, Section B, Line 15

The process for determining the executive compensation involves obtaining information on comparable agencies in comparable geographic locations. Information regarding revenue and executive compensation is obtained from these selected agencies' irs forms 990 using guidestar.org. A comparative schedule is then prepared and presented to the board of directors to help qualify and quantify a competitive compensation for the chief executive officer. Factors discussed at the board meeting include the comparative analysis, along with the prior year accomplishments of the ceo and the growth and development of the agency. A vote is required to implement any changes in compensation. The board of directors is responsible for determination of the chief financial officer's compensation. Information available on guidestar for comparable agencies in comparable locations is used for determining that compensation. In the current fiscal year, additional adjustments were made to oompensate for a 10% pay cut in the prior year and lack of raises for years preceding the pay cut.
