Form 990, Part VI, Section A, Line 4

On may 12, 2020, the board of directors of crew boston, inc. ("crew boston") unanimously approved and adopted the second amended and restated bylaws of crew boston, inc., which amend and restate in their entirety the amended and restated crew boston by-laws adopted in 2004, in order to (1) conform the bylaws to crew boston's current practices and current massachusetts law and (2) incorporate forward-looking provisions, including some provisions from the governing documents of other chapters of crew network. The following is a summary of the changes to the bylaws. 1. Name; location (article i): the board of directors has been given the power to designate the location of the principal office of crew boston. 2. Purposes (article ii). The purposes section has been deleted, as the purposes of crew boston are governed by the articles of organization. 3. Board of directors (article iii). Article iii incorporates several minor edits (e.g. Using the term "corporation" rather than "association") in addition to the following: a. The ability of the board of directors to establish policies and procedures has been clarified (3.3); b. The timing for the appointment of officers has been modified to be prior to the beginning of each fiscal year (rather than prior to the annual meeting), and the president (rather than the board of directors) has been given the power to appoint the treasurer and clerk from the members of the board of directors (3.4); c. The president's term has been revised to commence on august 1 (rather than july 1), to conform to crew boston's fiscal year (3.4); d. The term of the other members of the board of directors has been clarified to also commence on august 1 (3.6); e. The board of directors has been given the discretion to elect one or more representatives for any national organization with which crew boston may affiliate (3.6); f. The timing of the meetings of the board of directors has been revised to contemplate that they will be held generally from august through july (rather than september through june), to conform to crew boston's fiscal year, and electronic mail shall be a sufficient means for notice of a special meeting of the board of directors (3.7); g. Actions by the board of directors without a meeting have been modified to only require a majority of the board of directors to consent (rather than all of the directors) (3.10); and h. Provisions have been added regarding the removal and resignation of a member of the board of directors (3.11; 3.12). 4. Nominations and elections (article iv). Article iv incorporates several minor edits (e.g. Deleting language that is covered in other articles of the bylaws) in addition to the following: a. The chairperson of the nominating committee has been given the power to form the nominating committee (rather than the board of directors) (4.2); and b. The provisions regarding the appointment of the crew network delegates have been clarified (4.5). 5. Meetings of the corporation (article v). Article v incorporates several minor edits (e.g. Defining the "annual meeting") in addition to the following: a. The board of directors has been given more discretion to set the time and place of meetings, including to postpone the annual meeting if necessary (5.1; 5.2); b. It has been clarified that members of crew boston may participate in the annual meeting by means of a conference call (or other communications equipment) provided that members can hear each other and participate (5.2); c. The clerk will be required to call a special meeting upon the written request of members representing 10% of the smallest quorum of members required for a vote upon any matter at the annual meeting (versus 25 or more members), to conform to current massachusetts laws (5.4); and d. It has been clarified that notices of meetings may be given by electronic mail (5.5). 6. Membership (article vi). Article vi incorporates several minor edits (e.g. Changing references to the "crew boston year" to the "f

("CREW BOSTON") UNANIMOUSLY APPROVED AND ADOPTED THE SECOND AMENDED AND RESTATED BYLAWS OF CREW BOSTON, INC., WHICH AMEND AND RESTATE IN THEIR ENTIRETY THE AMENDED AND RESTATED CREW BOSTON BY-LAWS ADOPTED IN 2004, IN ORDER TO (1) CONFORM THE BYLAWS TO CREW BOSTON'S CURRENT PRACTICES AND CURRENT MASSACHUSETTS LAW AND (2) INCORPORATE FORWARD-LOOKING PROVISIONS, INCLUDING SOME PROVISIONS FROM THE GOVERNING DOCUMENTS OF OTHER CHAPTERS OF CREW NETWORK. THE FOLLOWING IS A SUMMARY OF THE CHANGES TO THE BYLAWS. 1. NAME; LOCATION (ARTICLE I): THE BOARD OF DIRECTORS HAS BEEN GIVEN THE POWER TO DESIGNATE THE LOCATION OF THE PRINCIPAL OFFICE OF CREW BOSTON. 2. PURPOSES (ARTICLE II). THE PURPOSES SECTION HAS BEEN DELETED, AS THE PURPOSES OF CREW BOSTON ARE GOVERNED BY THE ARTICLES OF ORGANIZATION. 3. BOARD OF DIRECTORS (ARTICLE III). ARTICLE III INCORPORATES SEVERAL MINOR EDITS (E.G. USING THE TERM "CORPORATION" RATHER THAN "ASSOCIATION") IN ADDITION TO THE FOLLOWING: A. THE ABILITY OF THE BOARD OF DIRECTORS TO ESTABLISH POLICIES AND PROCEDURES HAS BEEN CLARIFIED (3.3); B. THE TIMING FOR THE APPOINTMENT OF OFFICERS HAS BEEN MODIFIED TO BE PRIOR TO THE BEGINNING OF EACH FISCAL YEAR (RATHER THAN PRIOR TO THE ANNUAL MEETING), AND THE PRESIDENT (RATHER THAN THE BOARD OF DIRECTORS) HAS BEEN GIVEN THE POWER TO APPOINT THE TREASURER AND CLERK FROM THE MEMBERS OF THE BOARD OF DIRECTORS (3.4); C. THE PRESIDENT'S TERM HAS BEEN REVISED TO COMMENCE ON AUGUST 1 (RATHER THAN JULY 1), TO CONFORM TO CREW BOSTON'S FISCAL YEAR (3.4); D. THE TERM OF THE OTHER MEMBERS OF THE BOARD OF DIRECTORS HAS BEEN CLARIFIED TO ALSO COMMENCE ON AUGUST 1 (3.6); E. THE BOARD OF DIRECTORS HAS BEEN GIVEN THE DISCRETION TO ELECT ONE OR MORE REPRESENTATIVES FOR ANY NATIONAL ORGANIZATION WITH WHICH CREW BOSTON MAY AFFILIATE (3.6); F. THE TIMING OF THE MEETINGS OF THE BOARD OF DIRECTORS HAS BEEN REVISED TO CONTEMPLATE THAT THEY WILL BE HELD GENERALLY FROM AUGUST THROUGH JULY (RATHER THAN SEPTEMBER THROUGH JUNE), TO CONFORM TO CREW BOSTON'S FISCAL YEAR, AND ELECTRONIC MAIL SHALL BE A SUFFICIENT MEANS FOR NOTICE OF A SPECIAL MEETING OF THE BOARD OF DIRECTORS (3.7); G. ACTIONS BY THE BOARD OF DIRECTORS WITHOUT A MEETING HAVE BEEN MODIFIED TO ONLY REQUIRE A MAJORITY OF THE BOARD OF DIRECTORS TO CONSENT (RATHER THAN ALL OF THE DIRECTORS) (3.10); AND H. PROVISIONS HAVE BEEN ADDED REGARDING THE REMOVAL AND RESIGNATION OF A MEMBER OF THE BOARD OF DIRECTORS (3.11; 3.12). 4. NOMINATIONS AND ELECTIONS (ARTICLE IV). ARTICLE IV INCORPORATES SEVERAL MINOR EDITS (E.G. DELETING LANGUAGE THAT IS COVERED IN OTHER ARTICLES OF THE BYLAWS) IN ADDITION TO THE FOLLOWING: A. THE CHAIRPERSON OF THE NOMINATING COMMITTEE HAS BEEN GIVEN THE POWER TO FORM THE NOMINATING COMMITTEE (RATHER THAN THE BOARD OF DIRECTORS) (4.2); AND B. THE PROVISIONS REGARDING THE APPOINTMENT OF THE CREW NETWORK DELEGATES HAVE BEEN CLARIFIED (4.5). 5. MEETINGS OF THE CORPORATION (ARTICLE V). ARTICLE V INCORPORATES SEVERAL MINOR EDITS (E.G. DEFINING THE "ANNUAL MEETING") IN ADDITION TO THE FOLLOWING: A. THE BOARD OF DIRECTORS HAS BEEN GIVEN MORE DISCRETION TO SET THE TIME AND PLACE OF MEETINGS, INCLUDING TO POSTPONE THE ANNUAL MEETING IF NECESSARY (5.1; 5.2); B. IT HAS BEEN CLARIFIED THAT MEMBERS OF CREW BOSTON MAY PARTICIPATE IN THE ANNUAL MEETING BY MEANS OF A CONFERENCE CALL (OR OTHER COMMUNICATIONS EQUIPMENT) PROVIDED THAT MEMBERS CAN HEAR EACH OTHER AND PARTICIPATE (5.2); C.
