The organization has members, which pay dues to the organization's related organization, association for behavioral healthcare, inc.

Form 990, Part VI, Section A, Line 7A

Candidates for membership shall be elected by majority vote of the members then in good standing at any regular or special meeting of the members.

Form 990, Part VI, Section A, Line 7B

In addition to such powers and rights as are vested in them by lawor by the articles of organization, the members shall have the following rights: - at the annual meeting, to elect the directors of the corporation. - at any regular or specialmeeting, by a two-thirds (2/3) vote of the members present or duly represented, and in accordance with section 3.7, to remove any of the directors of abh foundation. - at any regular or special meeting, by majority vote of the members in good standing, to elect to membership in abh foundation any organization applying for membership which has been determined by the directors to meet the criteria for membership or for which the directors have recommended a waiver of one or more criteria. - at any regular or special meeting, by a two-thirds (2/3) vote of the members present or duly represented, and in accordance with section 2.7, to suspend or expel any member of abh foundation. - at any regular or special meeting, by majority of the totalmembership then in good standing, the members may vote to reconsider any action taken by the board of directors or under authority delegated from the board of directors. When such a vote to reconsider has been duly approved, the members may by a two-thirds (2/3) vote of the total membership amend or reverse the actions thus duly considered. - at any regular or special meeting, the members may act on any matter referred to the members by the board of directors. - at any regular or special meeting, the members may, in accordance with section 10, alter, amend, or repeal these by-laws.

The finance committee performs an initial review of the form 990. Once approved by the finance committee, form 990 is presented to the board for approval before filing.

Form 990, Part VI, Section B, Line 12C

The organization's ("corporation") conflict of interest policy fosters awareness among the members of the board, and executive management of private interests which may potentially give rise to conflicts, protect the interests of the organization with respect to any transaction or arrangement which might benefit an interested person, and provide a procedure of disclosure and resolution to potential conflicts. Any board member or executive manager of the corporation, is an interested person. A person has a conflicting interest if the person has or has had within the past five years, directly or indirectly, through personal business or investment, interests, or through business or investment interests held by a family member. The board members and member of executive management are required to sign a statement on an annual basis. Each board member and member of executive management must submit to board of the corporation an annual conflict of interest disclosure statement, in the form attached to the conflict of interest policy, disclosing business, investment, and governance interests and in addition to the annual disclosure statement each board member and executive has an ongoing duty to disclosure any potential conflict of which he/she becomes aware. After disclosure of the conflicting interest and all material facts the interested person shall leave the board or committee meeting while the determination of a conflict of interest is discussed and voted upon and shall not be counted in the quorum requirements of the meeting. The remaining board or committee members, being not less than a quorum, shall decide if a conflict of interest exists. When a determination of a conflicting interest is made at a committee level, the determination shall be preliminary, subject to final determination by the board of the corporation, and shall be referred by the committee chair to the board chair for review and action.

Financial Statement Notes

PART X, LINE 2:

Association for behavioral healthcare foundation is exempt from federal income taxes as organizations formed for charitable purposes under section 501(c)(3), of the internal revenue code. However, income from certain activities not directly related to the organization's tax-exempt purpose is subject to taxation as unrelated business income. The organization is subject to unrelated business income tax ("ubit"), if applicable. In accordance with fasb asc 740, income taxes, the organization applies the "more likely than not" threshold to the recognition and derecognition of tax positions for its combined financial statements. Management has evaluated the organization's tax positions and believes that there were no uncertain tax positions that qualified for either recognition or disclosure.
