The information required for the form 990 is accumulated by citizens energy corporation's accounting staff during preparation of the audited financial statements. This information is then provided to outside tax consultants, reviewed by citizens energy corporation's management and then presented to the board of directors.

Senior management of the organization monitors and enforces compliance of the conflict of interest policy upon becoming aware of any potential conflict. The issue is then referred to citizens energy corporation's general counsel for review and advice and, if necessary, to the conflicts committee of the board of directors for resolution.

An independent human resources consulting (hrc) firm is commissioned on an annual basis to review the reasonableness of proposed compensation for ceo, cfo and the president. The hrc does this under the intermediate sanctions regulations for non-profits, taking into consideration job responsibilities, experience, and comparable market data utilizing benchmark databases for both non-profit and for-profit organizations. A letter describing the methodology and resulting reasonableness of the compensation on a 25th, 50th, 75th, and 90th percentile basis is provided to the board of directors for review and determination of final compensation. As a matter of policy, the board aims to target total remuneration at or below the 75th percentile.

Citizens energy corporation exists to help make life's basic needs more accessible and affordable. Beginning in 1979 with oil-trading ventures in latin america and africa, citizens energy corporation has used revenues from commercial enterprises to channel hundreds of millions of dollars into charitable programs in the united states and abroad. Whether heating the homes of the elderly and poor in massachusetts, lowering the cost of prescription drugs for millions of americans, starting solar heating projects in jamaica and venezuela, or providing deeply discounted solar electricity to low-income families through our community solar projects, citizens energy corporation creates social ventures as innovative as the businesses that finance them.

Financial Statement Notes

PART X, LINE 2:

Income taxes : citizens energy corporation is a not-for-profit organization and is exempt from federal and state income taxes under section 501(c)(4) of the internal revenue code. However, income from certain activities not directly related to the company's tax-exempt purpose is subject to taxation as unrelated business income. Uncertain tax positions: under the income tax topic of the fasb accounting standards codification, a company is required to disclose tax filings which are potentially subject to review by either federal or state agencies. The company will record a liability for uncertain tax positions when it is more likely than not that a tax position would not be sustained if examined by the taxing authority. The company continually evaluates expiring statutes of limitation, audits, proposed settlements, changes in tax law and new authoritative rulings. The company's evaluation on december 31, 2024 revealed no uncertain tax positions that would have a material impact on the consolidated financial statements. The 2021 through 2023 tax years remain subject to examination by federal or state agencies. The company does not believe that any reasonably possible changes will occur within the next twelve months that will have a material impact on the consolidated financial statements.

THE PROGRAM PROVIDES RETAIL ELECTRICITY BILL CREDITS AT A 50% DISCOUNT TO MORE THAN 2,500 INCOME-QUALIFIED NEEDY FAMILIES ACROSS MASSACHUSETTS AND NEW YORK, SAVING EACH FAMILY APPROXIMATELY $300 PER YEAR. THE BILL CREDITS ORIGINATE FROM SOLAR PROJECTS DEVELOPED, BUILT, OWNED, AND OPERATED BY CITIZENS ENTERPRISES' SUBSIDIARIES. DURING 2024, CITIZENS INCURRED $779,971 IN EXPENSES FOR OUTREACH, MARKETING, AND CUSTOMER SERVICE RELATED TO ADMINISTERING THE JOE-4-SUN PROGRAM.IN 2023, CITIZENS, IN PARTNERSHIP WITH VINEYARD WIND, BEGAN A PROGRAM TO PURCHASE NET METERING OR SOLAR BILL CREDITS ON BEHALF OF LOW-INCOME RATEPAYERS WHO LIVE IN COASTAL AREAS IMPACTED BY THE VINEYARD WIND OFFSHORE WIND PROJECT. PURCHASING THE BILL CREDITS FOR THESE HOUSEHOLDS FURTHER REDUCES THEIR MONTHLY ELECTRIC BILLS, BEYOND THE INITIAL SAVINGS FROM THE DISCOUNTED BILL CREDITS. THE COMPANY WILL RECORD A LIABILITY FOR UNCERTAIN TAX POSITIONS WHEN IT IS MORE LIKELY THAN NOT THAT A TAX POSITION WOULD NOT BE SUSTAINED IF EXAMINED BY THE TAXING AUTHORITY. THE COMPANY CONTINUALLY EVALUATES EXPIRING STATUTES OF LIMITATION, AUDITS, PROPOSED SETTLEMENTS, CHANGES IN TAX LAW AND NEW AUTHORITATIVE RULINGS. THE COMPANY'S EVALUATION ON DECEMBER 31, 2024 REVEALED NO UNCERTAIN TAX POSITIONS THAT WOULD HAVE A MATERIAL IMPACT ON THE CONSOLIDATED FINANCIAL STATEMENTS. THE 2021 THROUGH 2023 TAX YEARS REMAIN SUBJECT TO EXAMINATION BY FEDERAL OR STATE AGENCIES. THE COMPANY DOES NOT BELIEVE THAT ANY REASONABLY POSSIBLE CHANGES WILL OCCUR WITHIN THE NEXT TWELVE MONTHS THAT WILL HAVE A MATERIAL IMPACT ON THE CONSOLIDATED FINANCIAL STATEMENTS.
